Recitals

WHEREAS, Applicant seeks a formal assessment, coaching, or other services to document, improve, or certify job performance and related competencies; and

WHEREAS, Provider is engaged in the business of conducting job performance evaluations, developing performance improvement plans, and delivering performance-related services to individuals and employers; and

WHEREAS, the parties desire to set forth the scope, obligations, fees, confidentiality, term and termination, and governing law applicable to the services to be provided under this application and agreement.

Scope of Work

The Provider shall perform the services described below. The services shall include assessment, observation, written evaluation, coaching sessions (if applicable), and delivery of any agreed deliverables.

Payment Terms

Applicant shall pay Provider the fees set forth below in consideration for the services rendered. All fees are due in accordance with the agreed schedule and are non-refundable except as expressly provided below.

Late Payments: Interest shall accrue on past-due amounts at the rate of per month (or the maximum rate permitted by law, if lower), together with any collection costs and attorney's fees reasonably incurred by Provider to collect unpaid amounts.

Term and Termination

This Agreement commences on the Start Date and, unless earlier terminated, will continue until the End Date or until completion of the services described in the Scope of Work.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within ten (10) days following written notice. Termination shall not relieve Applicant of its obligation to pay for services performed up to the effective date of termination.

Survival: The obligations of the parties that by their nature should survive termination or expiration of this Agreement shall survive, including payment obligations, confidentiality, and indemnity provisions.

Confidentiality

Each party agrees to hold in strict confidence all Confidential Information disclosed by the other party. "Confidential Information" means non-public information disclosed in connection with this Agreement, whether oral or written, that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Exclusions: Confidential Information does not include information that (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) was known to the receiving party prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving party without use of or reference to Confidential Information.

Remedies: The receiving party acknowledges that disclosure or misuse of Confidential Information would cause irreparable harm for which monetary damages may be inadequate and that the disclosing party shall be entitled to seek injunctive relief in addition to other remedies.

Liability and Indemnification

Limitation of Liability: Except for willful misconduct or gross negligence, and to the extent permitted by law, neither party shall be liable to the other for consequential, incidental, special, or punitive damages arising out of or relating to this Agreement. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the total fees paid to Provider under this Agreement.

Indemnification: Applicant shall indemnify, defend and hold harmless Provider from and against any third-party claims arising from Applicant's breach of this Agreement, misuse of deliverables, or false representations.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of laws principles. Any dispute arising under or related to this Agreement shall be resolved in the state or federal courts located within that state, and the parties submit to the exclusive jurisdiction and venue of those courts.

Entire Agreement; Amendments

This Agreement, together with any statements of work or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

By submitting this application and signing below, Applicant certifies that the information provided herein is true and accurate to the best of Applicant's knowledge, and Applicant consents to Provider performing the services described above. Applicant further acknowledges that Provider will rely on Applicant's representations in providing services.
