JOB PLACEMENT SERVICES AGREEMENT & APPLICATION

This Job Placement Services Agreement and Application (the "Agreement") is entered into as of by and between Agency Name: ("Agency") and Client / Employer Name: ("Client").

WHEREAS

WHEREAS, Agency is engaged in the business of recruiting, screening and placing qualified candidates in employment positions for Employer clients; and

WHEREAS, Client desires to engage Agency to identify, present and coordinate placement of candidates for the position(s) described herein, and Agency desires to provide such placement services subject to the terms and conditions of this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

2. SCOPE OF WORK

Agency shall perform recruitment and placement services including candidate sourcing, prescreening, coordination of interviews, reference checks, and such other services as described in the scope below.

3. PAYMENT TERMS

Client agrees to pay Agency the fees set forth below for placement services. Fees are earned when a candidate accepts employment (or begins assignment) with Client.

All fees are exclusive of applicable taxes. Client shall reimburse Agency for documented pre-approved expenses incurred in the performance of services.

4. TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination shall not relieve Client of its obligation to pay fees for placements made prior to the effective date of termination.

5. CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, independently developed without use of confidential information, or rightfully received from a third party without restriction.

Receiving party shall use Confidential Information solely for performance of this Agreement and shall restrict access to its employees, contractors and agents who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

6. BACKGROUND CHECKS AND AUTHORIZATIONS

By submitting this Application, the Applicant authorizes Agency and Client to obtain employment references, criminal background checks, education verifications and other pre-employment screening as permitted by law. Applicant represents that the information provided is true, complete and accurate to the best of Applicant's knowledge. Misrepresentations may be grounds for disqualification or termination of employment.

7. REPRESENTATIONS AND WARRANTIES; LIMITATION OF LIABILITY

Agency represents that it will perform services in a professional manner in accordance with industry standards. Client acknowledges that Agency does not warrant the suitability, skills, or performance of any candidate and that Agency's liability for claims arising out of this Agreement shall be limited to direct damages not to exceed the fees paid to Agency for the specific placement giving rise to the claim. Neither party shall be liable for incidental, consequential or punitive damages.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to conflict of law principles.

9. ENTIRE AGREEMENT

This Agreement, including any attachments, schedules and the candidate application sections, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, statements or understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

10. ADDITIONAL PROVISIONS

Non-solicitation: During the term of this Agreement and for a period of twelve (12) months following termination, Client shall not directly employ any candidate introduced by Agency without paying the agreed placement fee, unless otherwise agreed in writing.

ACKNOWLEDGMENT

The undersigned represent and warrant that they are authorized to enter into this Agreement on behalf of the party for which they sign, and that the information provided in this application is truthful and complete. Each party acknowledges receipt of a fully executed copy of this Agreement.
