Term and Termination

This JSA is effective as of Effective Date and continues until End Date unless earlier terminated. Either Party may terminate for convenience or cause as described below.

Termination for cause may be immediate upon material breach, safety violation that endangers life or property, or failure to comply with mandatory corrective actions. Termination does not relieve either Party of liabilities accrued prior to termination.

Confidentiality

Each Party shall maintain as confidential all proprietary safety plans, incident reports, technical data and any other non-public information disclosed in connection with this JSA ("Confidential Information"). Confidential Information shall not be disclosed to third parties except as required by law or with prior written consent. Reasonable safeguards shall be employed to prevent unauthorized disclosure. Confidentiality obligations survive termination for a period of three (3) years.

Liability, Indemnity & Safety Responsibility

The Parties acknowledge that responsibility for implementation of controls identified in this JSA rests with the Party performing the work. Each Party shall indemnify and hold harmless the other for claims arising out of its negligent acts or omissions. Nothing in this JSA limits liability for willful misconduct or statutory obligations.

Governing Law

This JSA shall be governed by and construed in accordance with the laws of the state in which the job site is located, without regard to conflict of law principles. The Parties submit to the jurisdiction of the courts located in that state for any disputes arising from this JSA.

Entire Agreement

This document, together with any attachments or task-specific addenda signed by the Parties, constitutes the entire agreement with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings and representations regarding the safety plan for the described work. Any amendment must be in writing and signed by both Parties.

Acknowledgment & Certification
