Parties and Recitals

This Job Selection Criteria Agreement (the Agreement) is entered into as of by and between Employer: and Provider: .

WHEREAS, Employer seeks to establish objective, documented, and legally defensible criteria and procedures for the selection and hiring of personnel for specified roles; and

WHEREAS, Provider is retained to design, document, and, where applicable, implement selection criteria, evaluation instruments, and related administrative processes in accordance with applicable laws, professional standards, and the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows.

Payment Terms

In consideration for Provider's services under this Agreement, Employer shall pay Provider the fees set forth below in accordance with the schedule specified. Fees are exclusive of any taxes for which Employer is responsible.

Amounts unpaid when due shall accrue interest at a rate of (or the maximum permitted by law), plus any collection costs and reasonable attorneys' fees.

Term and Termination

Term: This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure within days after receipt of written notice specifying the breach.

Termination shall not relieve Employer of its obligation to pay for services performed and expenses incurred through the effective date of termination, subject to any bona fide disputes.

Confidentiality

Each party shall maintain the confidentiality of Confidential Information disclosed by the other party and shall not use or disclose such information except as required to perform this Agreement or as required by law. "Confidential Information" includes candidate data, assessment results, scoring rubrics, internal deliberations, and any information designated as confidential by the disclosing party.

The receiving party shall implement reasonable administrative, technical, and physical safeguards to protect Confidential Information. Upon termination, the receiving party shall return or destroy Confidential Information as directed by the disclosing party, except to the extent retention is required by law or for archival backup.

Compliance, Representations and Warranties

Provider represents that selection instruments and procedures delivered under this Agreement shall be developed by personnel with appropriate professional expertise and shall be administered in a manner consistent with applicable laws and nondiscrimination principles. Provider shall notify Employer of any legal or regulatory conflicts identified in the course of providing services.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. Any dispute arising out of or relating to this Agreement shall be resolved by the dispute resolution mechanism selected by the parties below.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Recordkeeping and Audit

Provider shall maintain accurate records of evaluations, scoring sheets, and supporting documentation for a period of years from the date of service. Employer shall have the right to audit such records upon reasonable notice during normal business hours.

Miscellaneous Provisions

Neither party shall assign this Agreement without the prior written consent of the other, except that Employer may assign to an affiliate or successor in interest. If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect.
