Whereas the Company operates an assignment and placement program commonly described as the "Job Slide" process under which short-term and project-based assignments are allocated to qualified applicants; and

Now, therefore, in consideration of the mutual covenants set forth below and other good and valuable consideration, the parties agree as follows:

The Applicant, if engaged for a Job Slide assignment, will perform tasks as directed by the Company consistent with the assignment description and Applicant's qualifications. Specific duties shall be set forth in individual assignment notices issued under this Agreement.

PAYMENT TERMS

Compensation for services provided under individual Job Slide assignments will be paid in accordance with the schedule below. The Company shall not be obligated to pay for time not properly authorized in writing for a particular assignment.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date or until earlier terminated as provided below. Each individual assignment accepted under the Job Slide process may have separate durations governed by assignment notices.

Either party may terminate this Agreement for convenience upon providing the other party the Notice Period specified above. Either party may terminate immediately for material breach, willful misconduct, fraud, or unlawful conduct by the other party.

CONFIDENTIALITY

The Applicant will have access to confidential and proprietary information in connection with assignments. The Applicant agrees to hold such information in strict confidence, not to disclose it except as necessary to perform assignment duties, and to use it only for the purposes of performing authorized assignments. This obligation survives termination of this Agreement for a period of three (3) years.

This Agreement, together with any assignment notices and exhibits executed under it, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.
