This Joint Business Instruction (the "Instruction") is made and entered into on Agreement Date: by and between the undersigned parties.

PARTIES

RECITALS

WHEREAS, Party 1 is engaged in the business of and holds certain operational authority relevant to the joint business activities described herein;

WHEREAS, Party 2 is engaged in the business of and possesses complementary resources and expertise;

WHEREAS, the parties desire to set forth joint instructions, authorities, and procedures for the conduct of specified business operations on a collaborative basis, on the terms and conditions set forth below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

The parties shall cooperate to accomplish the Scope of Work. Each party shall perform its obligations in a commercially reasonable manner and in accordance with any schedules set forth in this Instruction.

PAYMENT TERMS

All payments shall be made in lawful currency to the account designated by the receiving party. If any payment is not made when due, the receiving party shall be entitled to charge interest and the late payment fee specified above and to suspend performance until payment is made.

JOINT INSTRUCTIONS AND AUTHORITY

All instructions affecting the joint matters described in this Instruction shall be provided in accordance with the selection below. The parties confirm their chosen method of joint instruction:

This Instruction commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Instruction for convenience by delivering written notice to the other party in accordance with the notice period specified above. Either party may also terminate immediately for material breach by the other party that remains uncured for a period of 30 days following written notice of such breach.

CONFIDENTIALITY

Each party (the "Recipient") acknowledges that in the course of performing under this Instruction it may receive Confidential Information of the other party (the "Discloser"). Confidential Information means non-public information disclosed in any form that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Recipient shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Instruction; and (c) not disclose Confidential Information to any third party except to employees, advisors or approved subcontractors who have a need to know and who are bound to confidentiality obligations at least as protective as those herein. Confidentiality obligations do not apply to information that is or becomes publicly available through no breach, that is already known to Recipient without restriction, or that is required to be disclosed by law, provided that Recipient gives prompt written notice of such requirement and cooperates to obtain protective measures.

GOVERNING LAW

This Instruction shall be governed by and construed in accordance with the laws of the jurisdiction specified above, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located therein for any dispute arising out of or relating to this Instruction.

ENTIRE AGREEMENT

This Instruction, together with any documents expressly incorporated herein, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendments or modifications to this Instruction must be made in writing and signed by both parties.

REPRESENTATIONS AND AUTHORITY

Each party represents and warrants that it has full power and authority to enter into this Instruction and to perform its obligations hereunder. Each signatory below represents that they are authorized to bind the party for whom they sign.

NOTICES

Notices shall be in writing and delivered by hand, certified mail, or recognized courier service to the addresses provided above, or to such other address as either party may designate by notice in accordance with this section.

MISCELLANEOUS

If any provision of this Instruction is held to be invalid or unenforceable, the remainder of this Instruction shall remain in full force and effect. No waiver of any breach shall be effective unless in writing and signed by the waiving party.
