WHEREAS, Client Name: desires to have certain personal property, debris, and other refuse removed from the location specified herein; and

WHEREAS, Service Provider Name: is engaged in the business of junk removal and has represented that it has the experience, equipment, and insurance to perform such services; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Client acknowledges that Service Provider may retain possession of removed property or refuse until payment in full is received and that disposal, transport, and tipping fees are the Client's responsibility unless otherwise specified.

Either party may terminate this Contract for cause upon written notice to the other party if the other party materially breaches any obligation and fails to cure the breach within days after receipt of written notice. Upon termination, Client shall pay for all services performed and reasonable costs incurred to date.

Confidentiality

Each party shall treat as confidential and shall not disclose to any third party non-public business, technical, or financial information learned as a result of this Contract. Confidential information does not include information that is or becomes publicly known through no breach by the receiving party, is independently developed, or is required to be disclosed by law. The obligations of confidentiality shall survive termination of this Contract for a period of three (3) years.

Insurance, Liability, and Indemnity

Service Provider represents and warrants that it maintains commercial general liability insurance in an amount not less than $ and workers' compensation as required by law. Upon request, Service Provider shall provide proof of insurance to Client.

Service Provider shall indemnify, defend, and hold Client harmless from and against any claims, liabilities, losses, and expenses arising from Service Provider's negligent acts or omissions, except to the extent caused by Client's gross negligence or willful misconduct.

Access, Permits, and Hazardous Materials

Client shall provide reasonable access to the property and obtain any permits or approvals required for removal. Client acknowledges that Service Provider is not licensed to handle regulated hazardous materials unless specifically agreed in writing. If hazardous materials or biohazards are encountered, Service Provider may stop work and will notify Client; additional remediation and disposal costs shall be billed separately.

Disposal and Environmental Compliance

Service Provider will remove and transport debris to lawful disposal facilities and will comply with applicable environmental laws. Client shall reimburse Service Provider for any fines or costs incurred as a result of items improperly represented by Client.

This Contract shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. Any dispute arising out of or relating to this Contract shall be resolved by binding arbitration in that state, unless the parties agree otherwise in writing.

Entire Agreement

This Contract, including any attachments and written change orders agreed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

Miscellaneous

Assignment: Neither party may assign this Contract without the prior written consent of the other party, except that Service Provider may subcontract performance to qualified subcontractors while remaining responsible for performance. Notices shall be delivered to the addresses listed above.
