CONFIDENTIALITY

Key Holder shall maintain in strict confidence all non-public information and access details associated with the keys and the premises, including alarm codes, access instructions, and schedule information ("Confidential Information"). Key Holder shall not disclose Confidential Information except to employees or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. Exceptions: information that is or becomes public through no fault of Key Holder, or disclosure compelled by valid legal process, provided Key Holder gives prompt written notice to Client where permitted.

LIABILITY, INDEMNIFICATION, AND INSURANCE

Key Holder shall exercise reasonable care in custody of the keys and shall be liable for loss, theft, or damage arising from Key Holder's negligence or willful misconduct. Key Holder shall indemnify, defend, and hold harmless Client from claims arising out of Key Holder's negligent use or unauthorized disclosure of keys or access credentials. Key Holder represents that it maintains insurance covering liability for property damage and theft in connection with its possession and use of the keys.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state identified by the parties below. Any disputes arising under this Agreement shall be resolved in the state or federal courts located within that jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with any written attachments or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous oral or written agreements, representations, and understandings. No modification to this Agreement shall be effective unless in writing and signed by both parties.
