KEY ISSUANCE AND ACCESS AGREEMENT

This Key Issuance and Access Agreement (Agreement) is made effective as of by and between (Issuer) and (Recipient).

WHEREAS

WHEREAS, Issuer is responsible for control and management of physical keys and access media for certain facilities, areas, and assets; and

WHEREAS, Recipient requires issuance of certain keys, fobs, or access cards for authorized use in the performance of duties or access to specified premises; and

WHEREAS, the parties desire to set forth the terms, conditions, liabilities, and procedures governing issuance, custody, return, and replacement of keys and access media.

PARTIES AND CONTACT INFORMATION

SCOPE OF WORK / AUTHORIZED ACCESS

Issuer shall issue to Recipient the keys, access cards, and/or fobs listed below for the purpose of authorized access and performance of Recipient's assigned duties. Recipient acknowledges receipt and accepts responsibility for care, custody, and authorized use consistent with this Agreement.

PAYMENT TERMS

Recipient agrees to pay the fees and deposits specified below. Fees are due in accordance with the payment schedule. Failure to pay amounts when due constitutes a breach of this Agreement and may result in suspension of key privileges.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' written notice. Issuer may terminate immediately for cause, including but not limited to loss, misuse, failure to return keys, nonpayment of fees, or breach of access restrictions.

RETURN, LOSS, AND REPLACEMENT

Recipient shall return all issued keys and access media immediately upon separation of employment, reassignment, loss of authorization, or upon request. Lost or unreturned keys are subject to the replacement fee and any costs reasonably incurred to re-key, reprogram, or secure affected areas.

CONFIDENTIALITY AND SECURITY

Recipient shall maintain custody of issued keys and access devices in a secure manner and shall not permit unauthorized use or duplication. Recipient must not disclose access codes, combinations, or security information to any unauthorized person. Breach of confidentiality or security obligations may result in civil liability and termination of access privileges.

LIABILITY AND INDEMNIFICATION

Recipient agrees to indemnify, defend, and hold harmless Issuer from and against any claims, liabilities, losses, or damages arising from Recipient's negligent, reckless, or intentional misuse of keys or access devices, except to the extent caused by Issuer's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Issuer maintains its principal place of business, without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning issuance and control of keys and access media and supersedes all prior agreements, understandings, or communications, whether written or oral, relating to the subject matter hereof. Any amendment must be in writing and signed by authorized representatives of both parties.
