What the KHCS D Line Agreement Covers

The KHCS D Line Agreement is a standardized contract template used to record the commercial and operational terms that govern D Line services between two parties. It defines scope of services, performance metrics, data handling and privacy obligations, billing and payment schedules, termination rights, and dispute resolution. Because many D Line agreements involve protected health information or patient-facing services, the template is frequently adapted to include HIPAA protections and minimum security controls. Use this agreement to create a clear written record that supports compliance, billing, and operational handoffs throughout the service lifecycle.

Why a Clear KHCS D Line Agreement Matters

A clear KHCS D Line Agreement reduces ambiguity about responsibilities, clarifies payment and performance expectations, and documents data-protection obligations needed for HIPAA and payer audits.

Why a Clear KHCS D Line Agreement Matters

Who Typically Completes a KHCS D Line Agreement

Multiple roles contribute: legal, contracting, clinical leadership, and vendor operations normally collaborate on execution.

  • Health system contracting teams and general counsel who review risk and regulatory clauses.
  • Clinical leadership responsible for operational scope and clinical performance measures.
  • Vendor account managers and contract administrators who confirm pricing and delivery schedules.

Final approval is typically documented by authorized signatories representing each party; keep the executed copy with procurement and compliance records.

Representative Signatories and Their Roles

Hospital Administrator

A senior operations or contracting lead who approves service scope, verifies clinical requirements, and confirms budget availability. This person ensures alignment with internal procurement rules and coordinates signatures across departments when multiple approvals are required.

Vendor Contract Manager

The vendor-side manager who confirms deliverables, accepts payment terms, and provides required certificates (insurance, licensure). They are responsible for providing contact information for notices and for coordinating any negotiated exhibits or schedules.

Core Sections to Include in a Professional KHCS D Line Agreement

A complete agreement organizes responsibilities, timelines, payments, data protections, liability, and change control so both parties can operate the arrangement without ambiguity.

Scope of Services

Describe deliverables, performance targets, service hours, and acceptance criteria. Attach technical or clinical exhibits that specify measurable outputs and reporting cadence.

Data Handling

Specify whether PHI will be shared, roles (covered entity vs business associate), permitted uses, and obligations for breach notification and minimum-security controls.

Performance Metrics

List KPIs, reporting frequency, remedies for missed targets, and processes for remediation and root-cause analysis.

Payment Terms

State fees, invoicing cadence, dispute procedures, late-payment interest, and any holdback or milestone payment arrangements.

Termination & Renewal

Define term length, renewal mechanics, early-termination rights, cure periods, and post-termination transition obligations.

Liability & Indemnity

Allocate risk for negligence, data breaches, and third-party claims; include insurance minimums and caps on liability where appropriate.

Essential Compliance and Security Items

PHI Handling: HIPAA BAA required
Encryption: TLS 1.2/1.3 in transit
Data at Rest: AES-256 encryption
Audit Trail: Immutable signing log
Authentication: Multi-factor options
Retention: Defined retention policy

  • 01
Prepare Draft: Populate parties, scope, fees, and effective date.
  • 02
Internal Review: Route to legal, compliance, and clinical leads for comments.
  • 03
Negotiate Terms: Agree changes, redline exhibits, and finalize SOW attachments.
  • 04
Execute and Archive: Obtain authorized signatures and store executed copy securely.

Where to Send and How the Signed Agreement Moves Through Your Organization

A typical routing sequence ensures approvals, execution, and distribution to operational stakeholders and compliance teams.

  • Distribute Copies: Send executed copies to procurement, finance, and compliance.

Recommended Digital Workflow Settings

Configure the online workflow to match the agreement's approval path and to capture required evidence for audits.

Field Configuration

Authentication Email + SMS code or KBA for higher assurance
Conditional Fields Show clauses based on role or jurisdiction
Retention Setting Auto-archive executed copy per retention policy

Technical Requirements for eSubmission and Storage

Ensure your eSignature platform supports PHI handling, audit trails, and common integrations before e-submission.

  • File Formats: PDF, DOCX supported
  • Integrations: Salesforce, NetSuite, Microsoft 365
  • Security Controls: AES-256 at rest

Typical Timelines and Deadlines to Track

Monitor execution, submission, renewal, and post-termination timelines so obligations and billing flow correctly.

Execution Deadline:

Complete signature before service start date; typically prior to deployment.

Submission to KHCS:

Deliver signed agreement to contracting office within 30 days of execution.

Payment Terms:

Invoice frequency and due dates set in payment section (net 30 common).

Renewal Notice:

Provide written renewal intent as specified, often 60–90 days prior.

Record Retention Start:

Retention counted from effective date or last active service date.

Common Mistakes to Avoid

  • Leaving scope vague or referencing external documents without attaching the exhibit creates enforcement issues and confusion between parties.
  • Failing to include a HIPAA Business Associate Agreement when PHI is shared can expose parties to regulatory penalties and corrective actions.
  • Using inconsistent party names or mismatched signer names between the signature block and corporate records can delay processing or trigger re-execution.
  • Not specifying a governing law or dispute resolution mechanism may increase litigation costs and complicate enforcement across jurisdictions.

Key Risks and Potential Consequences

Contract Voidance: Ambiguous terms risk unenforceability
Regulatory Fines: HIPAA fines or corrective action
Data Breach Costs: Notification and remediation expenses
Payment Disputes: Liquidity impact from withheld funds
Operational Disruption: Service interruptions and penalties
Reputation Harm: Loss of trust with patients or payers
