Kiosk Usage Agreement

This Kiosk Usage Agreement (the "Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Provider owns, operates, or supplies interactive kiosks and related hardware and software (the "Kiosk") for public or private placement; and

WHEREAS, User desires to use and operate the Kiosk at the location(s) specified below subject to the terms and conditions set forth in this Agreement; and

WHEREAS, Provider agrees to permit such use on the terms set forth herein and User agrees to accept responsibility for the operation, care, and authorized use of the Kiosk.

Provider shall provide the Kiosk and any associated installation services, software configuration, and routine maintenance as described below. User shall operate the Kiosk only for the permitted uses and in accordance with Provider's reasonable operating instructions.

User shall pay Provider the fees set forth below in exchange for installation, rental, maintenance, and/or services. All payments are due in U.S. dollars and are non-refundable except as expressly provided in this Agreement.

Provider is responsible for initial delivery and installation of the Kiosk unless otherwise specified. User shall provide suitable power, space, and environmental conditions. Routine maintenance is the responsibility of as set forth in the Scope of Work.

6. Insurance and Indemnity

User shall maintain insurance coverage sufficient to cover liability arising from User's use of the Kiosk. Provider may require proof of insurance prior to installation.

Each party shall indemnify, defend and hold harmless the other party from and against any claims, damages, losses, liabilities and expenses arising from the indemnifying party's negligence, willful misconduct, or breach of this Agreement.

7. Confidentiality

Each party agrees that Confidential Information disclosed by the other party will be used solely for the performance of this Agreement and will not be disclosed to third parties except as expressly authorized or required by law. Confidential Information includes non-public technical, financial and operational information related to the Kiosk, software, and business processes.

Acknowledgement of Confidentiality: I acknowledge and agree to the confidentiality obligations in this Section.

8. Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS. THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY USER TO PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in the county of the governing state.

10. Entire Agreement; Amendments

This Agreement, including any attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions. Any amendment must be in writing and signed by authorized representatives of both parties.

11. Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or successor in interest. Notices shall be in writing and delivered to the addresses set forth above.
