Confidentiality

Each party shall hold in confidence and shall not disclose to any third party any Confidential Information received from the other party, except to the extent necessary to perform obligations under this Agreement or as required by law. "Confidential Information" does not include information that is publicly known, rightfully received from a third party without restriction, or independently developed by the receiving party.

Client acknowledges that Designer may display non-confidential project images and non-identifying descriptions for portfolio and marketing purposes unless Client expressly checks the box below to restrict such use:

Permits, Approvals and Client Responsibilities

Unless otherwise agreed in writing, Client is responsible for obtaining and paying for any permits, inspections, and approvals required for construction. Designer will assist by preparing documentation reasonably necessary for permit applications but is not the permit applicant unless expressly agreed.

Warranties, Liability and Indemnity

Designer warrants that design services will be performed in a professional and workmanlike manner in accordance with customary industry standards. Except for the express warranty set forth herein, Designer disclaims all other warranties, express or implied. Designer's liability for any claim arising out of or related to this Agreement shall be limited to direct damages not to exceed the total amounts paid to Designer under this Agreement. Neither party shall be liable for consequential, incidental, or punitive damages. Client shall indemnify and hold Designer harmless from claims arising from Client-supplied materials, failure to obtain permits, or use of the design contrary to Designer's instructions.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement

This Agreement, together with any attached exhibits or Change Orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, proposals, or agreements.
