RECITALS

SCOPE OF WORK

Either party may terminate this Agreement for material breach where the breaching party fails to cure within the notice period set forth above. Immediate termination may occur for gross negligence, willful misconduct, or actions that create an imminent threat to health or safety.

CONFIDENTIALITY

Each party will keep confidential all non-public business information, recipes, customer lists, supplier pricing, and any proprietary procedures disclosed in connection with performance under this Agreement. Confidential information will not be used for any purpose other than performance under this Agreement and will be returned or destroyed upon termination, except where retention is required by law. Disclosure required by law shall be made only after reasonable notice to the other party.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict-of-law principles. The parties agree disputes shall be resolved by mutually agreed-upon mediation prior to filing any civil action.

ENTIRE AGREEMENT

This document, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties concerning kitchen safety and services described herein and supersedes all prior oral or written agreements on the same subject. Any modification must be in writing and executed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Severability: If any provision is held invalid, the remainder will remain in full force. Waiver of any breach will not constitute waiver of subsequent breaches.
