KITCHEN SERVICE CONTRACT

This Kitchen Service Contract (the "Contract") is entered into as of by and between the parties set forth below.

Parties

Recitals

WHEREAS, Service Provider is duly qualified and experienced in the provision of kitchen maintenance, repair, installation and related services and holds all necessary licenses, permits and insurance to perform such services; and

WHEREAS, Client desires to retain Service Provider to perform the kitchen services described in this Contract at the Client premises located at the address set forth above, and Service Provider agrees to perform such services under the terms and conditions set forth herein.

WHEREAS, the parties intend that the services provided under this Contract will be performed in a professional manner consistent with industry standards.

Scope of Work

Service Provider shall perform the services described below (the "Services"). All Services shall be performed in accordance with the terms of this Contract.

Payment Terms

The total contract price for the Services shall be $ (the "Contract Price"), subject to adjustments for approved change orders.

Invoices submitted by Service Provider are due and payable within days of receipt. Late payments shall incur interest at the lesser of:

All payments are due in U.S. dollars unless otherwise agreed in writing. Client is responsible for payment of any taxes or fees required by law, unless Service Provider is required to collect such taxes.

Term and Termination

This Contract shall commence on the Start Date: and shall remain in effect until the Completion Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Contract for convenience upon days prior written notice to the other party. Either party may terminate for material breach that remains uncured for a period of 10 days after written notice of such breach.

Upon termination, Client shall pay Service Provider for all Services performed and materials ordered up to the effective date of termination, together with reasonable demobilization costs and any non-cancelable commitments.

Change Orders

Any change in the scope, price, or schedule shall be made only by written change order signed by authorized representatives of both parties. Service Provider shall not be required to perform changed work without a signed change order.

Confidentiality

Each party shall keep confidential and not disclose any non‑public information of the other party obtained in connection with this Contract, including pricing, designs, specifications and trade secrets ("Confidential Information"), except as required by law or to perform the Services. Confidential Information shall be protected for a period of years following termination.

Warranties; Remedies

Service Provider warrants that Services will be performed in a workmanlike manner consistent with industry standards. Unless otherwise agreed in writing, Service Provider's sole obligation for breach of this warranty shall be the correction of defective Services at Service Provider's expense, provided Client notifies Service Provider in writing of the defect within months of completion.

Limitation of Liability; Indemnification

Except for liability resulting from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special or exemplary damages. Each party shall indemnify and hold harmless the other from third-party claims arising out of the indemnifying party's negligent acts or omissions in performance of this Contract.

Insurance and Compliance

Service Provider shall maintain, at its expense, commercial general liability insurance and workers' compensation as required by law while performing Services. Upon request, Service Provider shall provide certificates evidencing such insurance.

Inspection and Acceptance

Upon completion of Services, Client shall inspect the work and provide written notice of acceptance or detailed list of deficiencies within days. Failure to provide timely written notice of deficiencies shall be deemed acceptance.

Governing Law

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Notices

Any notice required or permitted under this Contract must be in writing and delivered to the addresses set forth above by personal delivery, certified mail, or overnight courier, and shall be effective upon receipt.

Entire Agreement

This Contract, including any written change orders and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. No amendment shall be binding unless in writing and signed by both parties.

Miscellaneous

If any provision of this Contract is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Contract without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
