Kitchen Service Agreement and Acknowledgment

Either party may terminate this Agreement for material breach if the breach is not cured within days after written notice. Termination by the Client for convenience requires payment for all work performed and materials purchased through the effective termination date.

Confidentiality

Both parties acknowledge that during performance of the Services they may receive Confidential Information. "Confidential Information" means non-public business, technical, operational or financial information disclosed in any form. The recipient shall (a) hold such information in strict confidence, (b) use it only to perform obligations under this Agreement, and (c) not disclose it to third parties except to employees, contractors or professional advisors who need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Confidentiality obligations do not apply to information that is or becomes publicly available without breach, was known prior to disclosure, or is required to be disclosed by law.

Access, Safety and Condition of Equipment

Client represents that Client has disclosed any known hazards, special handling requirements, or unsafe conditions at the premises and that all equipment to be serviced is in condition consistent with safe work. Provider will comply with customary safety protocols but is not responsible for pre-existing concealed conditions. Client authorizes Provider to take reasonable measures to secure the area for safety and to decline work that may expose personnel to imminent danger.

Acceptance; Warranty Disclaimer; Limitation of Liability

Upon completion, Client will inspect the work and shall promptly notify Provider in writing of any claim for defective or incomplete work within days. Provider warrants workmanship for a period of days from completion, excluding consumables and manufacturer defects. Except as expressly provided, Provider disclaims all other warranties. In no event shall Provider be liable for indirect, incidental, special or consequential damages and Provider's aggregate liability for any claim shall not exceed the total amount paid under this Agreement for the specific services at issue.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of: without regard to its conflict-of-law principles. Parties agree to attempt in good faith to resolve disputes promptly by negotiation; if unresolved, disputes shall be resolved in the courts located in the designated state unless the parties agree otherwise in writing.

Entire Agreement; Amendments

This Agreement, including any written attachments or purchase orders expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, representations, and agreements, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets. Notices: All notices must be in writing and delivered to the addresses provided by the parties. Severability: If any provision is held invalid, the remainder will continue in effect.

Acknowledgments

Client acknowledges that Provider may retain a mechanic's lien or similar remedy for unpaid charges where permitted by law and that Provider may suspend work for non-payment after providing the notice required by applicable law.
