This KYC Annex Form (the "Annex") is entered into as of by and between Company Name: (the "Company") and Client Name: (the "Client").

RECITALS

WHEREAS, the Company is required by applicable anti‑money laundering, counter‑terrorist financing and customer due diligence laws and internal policies to obtain, verify and retain certain information regarding its customers; and

The Client further certifies that it is not listed on any sanctions, denied persons, or similar restricted parties lists, and that none of its beneficial owners or authorized signatories are sanctioned individuals or organizations. If any such status applies, the Client must notify the Company immediately.

6. REPRESENTATIONS, WARRANTIES AND UNDERTAKINGS

The Client represents and warrants that all information provided in this Annex and any supporting documentation is accurate and complete, that it has the authority to enter into this Annex, and that there are no material facts omitted which would make the information provided misleading. The Client undertakes to notify the Company promptly in writing of any material change to the information supplied.

The Client authorizes the Company to retain copies of documents and to disclose information to governmental authorities, competent agencies and third‑party service providers for the purposes of regulatory compliance, investigation or as required by law.

7. CONFIDENTIALITY & DATA PROTECTION

The Company will treat information provided as confidential and will process personal data in accordance with applicable data protection law. Notwithstanding the foregoing, the Company may disclose information where required by law, regulation, court order or competent authority.

Governing Law: This Annex shall be governed by and construed in accordance with the laws of the jurisdiction specified in the underlying agreement. Each party submits to the exclusive jurisdiction of the competent courts of that jurisdiction for any dispute arising out of or in connection with this Annex.

Entire Agreement: This Annex, together with the underlying agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior understandings or agreements.

Severability: If any provision of this Annex is held to be invalid or unenforceable, the remainder of this Annex will remain in full force and effect.

Amendments and Waiver: No amendment, modification or waiver of any provision of this Annex will be effective unless in writing and signed by authorized representatives of both parties.

Counterparts: This Annex may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
