Client shall pay Reviewer the amounts specified below for the Label Review services. Fees cover the review, written report, and up to one round of minor revisions unless otherwise agreed in writing.

Confidentiality

The parties acknowledge that in connection with the Label Review they will exchange confidential information. Each party shall maintain such information in strict confidence, use it only for the purposes of the Label Review, and not disclose it to third parties except with prior written consent or as required by applicable law. Confidential information does not include information that is or becomes publicly known through no breach of this agreement, or that a party can demonstrate was already known to it prior to disclosure.

Governing Law and Dispute Resolution

This Label Review Form and any dispute arising out of it shall be governed by the substantive laws of the jurisdiction designated by the parties below. The parties shall attempt in good faith to resolve disputes by negotiation prior to pursuing formal remedies.

Entire Agreement

This document constitutes the entire agreement between Client and Reviewer with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment or modification must be in writing and signed by both parties.
