What a Labeling Letter of Authorization Is and When it Applies

A Labeling Letter of Authorization is a signed document that gives one party the authority to create, approve, or apply product labels on behalf of another party. It clarifies who may use trademarked artwork, regulatory statements, or specific wording for product packaging and point-of-sale materials. The letter typically identifies the grantor and grantee, scope of label rights, effective dates, any territorial limits, and conditions such as quality controls or pre-approval of final art. This record supports supply-chain compliance, distributor relationships, and regulatory auditing.

Why a Clear Authorization Letter Protects Both Parties

A precise Labeling Letter of Authorization reduces disputes, documents consent to specific labeling actions, and creates an auditable record for regulatory reviews and quality teams. It establishes boundaries for intellectual property use, helps maintain consistent branding, and speeds review by clarifying responsibilities and approval steps in writing.

Why a Clear Authorization Letter Protects Both Parties

Typical roles that prepare or sign this letter

Keep an executed copy with product records and share relevant pages with manufacturing and compliance teams to avoid downstream disputes.

  • Brand owners and trademark managers who grant label usage rights to manufacturers or packagers.
  • Contract manufacturers and private-label suppliers who need written permission to apply brand labels.
  • Regulatory or quality managers who require a paper trail for audits and compliance checks.

Who May Sign and What Their Role Means

Authorized Representative

An executive or employee with authority to bind the grantor company. This signer must understand the scope of permission, represent the company's consent, and accept liability for any representations about trademark or regulatory compliance.

Labeling Manufacturer

The party receiving authority to produce or affix labels. Their duties include following approved artwork, maintaining quality controls, and retaining evidence of label versions and pre-approvals for regulatory or audit purposes.

Step-by-step: completing a Labeling Letter of Authorization

Follow these steps to prepare, approve, and distribute a legally reliable authorization letter.

  • 01
Draft the document: Define parties, scope, and dates clearly.
  • 02
Attach specimens: Include sample labels and artwork for pre-approval.
  • 03
Obtain signatures: Have authorized representatives sign and date.
  • 04
Distribute copies: Share executed copies with compliance and production teams.

How authorization typically flows through an organization

A standard workflow ensures correct approvals and traceability from brand owner to manufacturer and to distribution.

  • Request: Manufacturer requests authorization for specific SKUs or artwork.
  • Review: Brand and legal teams check regulatory and trademark implications.
  • Approve: Authorized signatory executes the letter.
  • Implement: Manufacturer applies approved labels and retains records.

  • Authentication: Supports email and SMS codes

Essential clauses and elements to include

A professional Labeling Letter of Authorization contains standard clauses to limit risk and clarify responsibilities.

Grant of Rights

Clearly state the exact rights granted, including whether the grantee may alter artwork, use trademarks, or reproduce label text, and whether sublicensing is allowed.

Quality Control

Specify quality standards, approval steps for label proofs, and remedies for nonconforming labels to protect brand integrity and regulatory compliance.

Regulatory Compliance

Require the grantee to comply with applicable labeling laws and regulations, and to notify the grantor of any required regulatory changes or recalls.

Term and Termination

State effective and expiration dates and include termination rights for breach, insolvency, or change in regulatory status affecting label use.

Indemnification

Allocate responsibility for claims arising from labeling errors, misrepresentations, or regulatory fines, and require defense cooperation.

Recordkeeping

Mandate retention of label versions, approval records, and production runs for a defined period to support audits and inspections.

Supporting documents to attach

Attach documents that confirm authority and limit ambiguity when delegating label responsibilities.

Specimen Labels

Final art files and PDF proofs showing exact wording, fonts, colors, and placement to be used on products or packaging.

Trademark Evidence

Copies of trademark registrations or pending applications to show the grantor's ownership and support enforcement if needed.

Quality Standards

Written quality control checklists or acceptance criteria that the grantee must follow during label production and application.

Regulatory Filings

Any prior regulatory approvals, UPC codes, or declarations of conformity that relate to the product's labeling requirements.

Security and compliance controls to protect the record

Encryption: TLS 1.2/1.3; AES-256
Access Controls: Role-based permissions
Audit Trail: Timestamps and IP logs
HIPAA BAA: BAA available if needed
Record Retention: Immutable signed PDFs
Authentication: Email, SMS, or 2FA

Common preparation mistakes to avoid

  • Vague scope language that fails to list SKUs or label versions, causing disputes about what was authorized.
  • Using unapproved artwork or failing to attach specimen labels so manufacturers lack a definitive reference.
  • Mismatched legal names for parties, which can void permissions or trigger tax and customs issues.
  • Not retaining a signed copy with audit metadata, leaving no defensible record for audits or regulatory inquiries.

Consequences of incorrect or missing authorizations

Trademark Risk: Infringement claims
Regulatory Fines: Agency penalties possible
Product Recalls: Increased recall exposure
Contract Disputes: Breach of contract claims
Customs Holds: Import/export delays
Reputational Harm: Brand damage
