LABOR SERVICES CONTRACT

This Labor Services Contract ("Agreement") is made and entered into as of by and between Contractor Name: Contractor Address: (hereinafter "Contractor"), and Client Name: Client Address: (hereinafter "Client"). Contractor and Client are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Contractor has experience and personnel capable of performing manual labor, installation, maintenance, and related services as more particularly described in this Agreement; and

WHEREAS, Client desires to engage Contractor to perform the services described in Section 2 under the terms and conditions set forth herein; and

WHEREAS, Contractor is willing to provide such services on an independent contractor basis and subject to the terms of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Work" means the labor, services, materials and other work product to be provided by Contractor as described in the Scope of Services. 1.2 "Site" means the location(s) where the Work is performed. 1.3 Terms not otherwise defined in this Agreement shall have the meanings customarily given to them in the industry.

2. SCOPE OF SERVICES

2.1 Services. Contractor shall perform labor services consisting of the tasks described in the Service Description below. Contractor shall furnish all labor, supervision, and management necessary to perform the Work in a professional and workmanlike manner in accordance with industry standards.

3. TERM

The term of this Agreement shall commence on the effective date set forth above and continue until completion of the Work or until terminated pursuant to Section 12. The initial estimated completion date is , subject to adjustments for change orders and excusable delays.

4. COMPENSATION

4.1 Contract Price. Client shall pay Contractor for the performance of the Work the amounts set forth in this Section. The basis of compensation shall be:

4.2 Expenses. Contractor shall be responsible for ordinary tools and equipment. Reimbursable expenses require prior written approval by Client and shall be invoiced separately with supporting documentation.

5. INVOICES AND PAYMENT

Contractor shall submit invoices in reasonable detail on a monthly basis or upon completion of agreed milestones. Client shall pay undisputed amounts within thirty (30) days of receipt of a proper invoice. If Client disputes any portion of an invoice, Client shall notify Contractor in writing within ten (10) days specifying the basis for the dispute, and the undisputed portion shall be paid when due.

6. INDEPENDENT CONTRACTOR; TAXES AND BENEFITS

6.1 Independent Contractor. Contractor is an independent contractor and is solely responsible for determining the method and means of performing the Work. Nothing in this Agreement shall be construed to create an employment relationship, joint venture, or partnership.

6.2 Taxes and Benefits. Contractor shall be responsible for all federal, state and local taxes, payroll taxes, and any worker benefits applicable to Contractor and its employees. Client shall not withhold or pay any taxes on behalf of Contractor.

7. EQUIPMENT, MATERIALS AND SITE ACCESS

Contractor shall supply its own tools and equipment unless otherwise agreed. Client shall provide access to the Site and any Client-furnished materials specified in the Service Description. Contractor shall maintain the Site in a safe and orderly condition and shall remove debris generated by its Work.

8. SAFETY; COMPLIANCE WITH LAWS

Contractor shall perform the Work in compliance with all applicable federal, state and local laws, ordinances, regulations and codes, including safety regulations. Contractor shall ensure that its personnel are trained and equipped to perform the Work safely. Contractor shall immediately notify Client of any event that could materially affect safety or compliance.

9. CONFIDENTIALITY

Each Party shall keep confidential all nonpublic information disclosed by the other Party in connection with this Agreement and shall not disclose such information to third parties except as required by law or with the prior written consent of the disclosing Party. Confidential information excludes information that is or becomes publicly available other than through breach of this Agreement.

10. INDEMNIFICATION

Contractor shall indemnify, defend and hold harmless Client and its officers, directors and employees from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from Contractor's performance of the Work, except to the extent caused by Client's negligence or willful misconduct.

11. INSURANCE

Contractor shall maintain insurance customary for the industry and sufficient to cover Contractor's liabilities under this Agreement, including commercial general liability and workers' compensation as required by law. Upon request, Contractor shall provide certificates of insurance evidencing such coverage.

12. TERMINATION

Either Party may terminate this Agreement for convenience upon ten (10) days' prior written notice. Either Party may also terminate immediately for material breach if the breaching Party fails to cure within five (5) days after written notice of breach. Upon termination, Client shall pay Contractor for Work performed and committed expenses incurred through the effective date of termination.

13. REMEDIES; LIMITATION OF LIABILITY

Except as provided in Section 10, neither Party shall be liable to the other for consequential, incidental, punitive or exemplary damages. Each Party's aggregate liability for any claim arising out of this Agreement shall not exceed the total amount paid or payable by Client to Contractor under this Agreement during the twelve (12) months preceding the claim.

14. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, certified mail (return receipt requested), or reputable overnight courier to the addresses provided in the opening paragraph or to such other address as either Party may designate by notice to the other in accordance with this Section. Notices are effective upon receipt.

15. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless reduced to writing and signed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right.

16. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the courts of that state for disputes arising under this Agreement.

17. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including all attachments and documents incorporated by reference, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior agreements and understandings. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. COUNTERPARTS; EXECUTION

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means that produce a printed copy shall be deemed original signatures.

19. ASSIGNMENT

Neither Party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other Party, except that either Party may assign to an affiliate or in connection with a merger or sale of substantially all its assets.

20. ADDITIONAL REPRESENTATIONS

Each Party represents and warrants that it has full power and authority to enter into and perform this Agreement and that the execution, delivery and performance of this Agreement has been duly authorized.
