LABORATORY LAB REQUIREMENTS

Recitals

WHEREAS, Client Name: (the "Client") requires laboratory services and facilities that meet the specifications set forth herein; and

WHEREAS, Laboratory Name: (the "Laboratory") possesses the personnel, equipment, accreditations, and procedures necessary to perform such services in accordance with applicable law, industry standards, and the specific requirements set forth in this document; and

WHEREAS, the parties desire to set forth agreed minimum requirements, payment terms, confidentiality obligations, and operational protocols applicable to the Laboratory's performance for the Client.

Scope of Work

The Laboratory shall perform the services described above in compliance with all applicable standard operating procedures, safety rules, and as further detailed in the subsections below. Specific technical requirements include:

Sample Handling, Chain of Custody, and Data

The Laboratory shall maintain documented chain of custody procedures for all samples. Sample receipt documentation and disposition shall be recorded and provided to the Client upon request. Sample types accepted:

Quality Control and Reporting

The Laboratory shall perform internal quality control (IQC) and participate in proficiency testing as applicable. Deviations from accepted quality thresholds must be reported in writing within business days of discovery.

Payment Terms

Compensation: $ payable in accordance with the schedule below. Invoices issued by the Laboratory are due within days of invoice date.

Late Fee: Any payment not received by the due date shall accrue interest at a rate of compounded monthly, plus reasonable collection costs.

Term and Termination

This Agreement is effective as of Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon providing written notice at least days to the other party. Termination for material breach may be effective immediately if the breaching party fails to cure within a commercially reasonable cure period not to exceed 30 days after receipt of written notice.

Confidentiality

Each party shall treat as confidential all proprietary or nonpublic information disclosed by the other party in connection with this Agreement ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly available through no breach by the receiving party; (b) is lawfully obtained from a third party without restriction; or (c) is independently developed by the receiving party without use of the disclosing party’s Confidential Information. The receiving party shall not disclose Confidential Information except to employees, contractors, or agents with a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Notwithstanding the foregoing, the Laboratory may disclose Confidential Information to comply with a valid court order or other legal requirement, provided that the Laboratory gives the Client prompt written notice and cooperates with reasonable efforts by the Client to seek protective measures.

Insurance and Indemnification

The Laboratory shall maintain commercial general liability and professional liability insurance in amounts sufficient for the scope of services and in no event less than $ per occurrence. The Laboratory shall provide proof of such insurance upon request.

Each party shall indemnify and hold harmless the other party from and against any third-party claims, liabilities, damages, and reasonable costs arising from the indemnifying party’s negligence, willful misconduct, or breach of this Agreement.

Change Control and Amendments

Any change to scope, pricing, schedule, or technical requirements shall be effective only if set forth in a written amendment signed by authorized representatives of both parties. The Laboratory shall not be required to implement changes that materially increase risk or cost without written agreement to adjust compensation and schedule.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation prior to initiating litigation or arbitration.

Entire Agreement

This document, together with any written attachments and amendments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

Each party represents and warrants that it has full authority to enter into this Agreement, that the person signing below is authorized to bind the respective party, and that performance under this Agreement will comply with applicable laws, regulations, and professional standards.
