CONFIDENTIALITY

Each party shall keep confidential all financial terms and non-public information obtained in connection with this Agreement and shall not disclose such information except to their attorneys, accountants, prospective assignees, or as compelled by law. This obligation survives termination of this Agreement for a period of two (2) years.

GOVERNING LAW; VENUE
