LANDSCAPE MAINTENANCE AGREEMENT

This Landscape Maintenance Agreement (the "Agreement") is entered into as of by and between Client Name: and Contractor Name: .

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will perform routine landscape maintenance and related services for Client.

SCOPE OF WORK

Contractor shall perform the landscape maintenance tasks described below at the Property. The scope includes routine mowing, edging, trimming, debris removal, pruning, irrigation inspection, and seasonal clean-ups as specified. Additional or special services shall be set out in writing and signed by both parties.

PAYMENT TERMS

Client shall pay Contractor for the services rendered in accordance with the following payment terms. Unless otherwise stated, amounts are in U.S. Dollars.

Late payments shall incur a late fee of per month on outstanding balances, and interest may accrue at the maximum rate permitted by applicable law. Contractor may suspend services if payments are more than days overdue.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice no less than days prior to the intended termination date. Either party may terminate immediately for material breach if the breaching party fails to cure within days after written notice of breach.

CONFIDENTIALITY

Each party acknowledges that in performing under this Agreement it may obtain confidential or proprietary information of the other party. Each party agrees to keep confidential and not disclose such information to third parties and to use such information only for the purposes of performing obligations under this Agreement. This obligation shall not apply to information that is or becomes public through no fault of the receiving party, or that is independently developed or lawfully obtained from a third party.

INSURANCE AND INDEMNIFICATION

Contractor shall maintain at its expense commercial general liability insurance with limits not less than per occurrence and shall maintain workers' compensation as required by law. Contractor shall provide proof of insurance upon reasonable request.

Contractor shall indemnify, defend, and hold harmless Client from and against any claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Contractor's negligent acts or omissions in performing services under this Agreement, except to the extent caused by Client's negligence or willful misconduct.

PERMITS, UTILITIES AND ACCESS

Client shall grant Contractor reasonable access to the Property during normal business hours and shall be responsible for any required permits or permissions unless otherwise agreed in writing. Contractor shall take reasonable precautions to locate underground utilities and Client shall notify Contractor of known utility locations.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, agreements and understandings. Any amendment or modification to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Contractor may assign to an affiliate or as part of a corporate sale.
