CHANGES AND CHANGE ORDERS

Any additions, deletions, or modifications to the Scope of Work shall be executed only by a written Change Order signed by both parties. Change Orders may adjust the schedule, price, and any other affected terms; Contractor is not required to proceed with changed work until a mutually executed Change Order is in effect.

WARRANTY, EXCLUSIONS, AND SITE CONDITIONS

Standard Warranty: Contractor warrants workmanship for a period of from completion, subject to limitations stated in any separate written warranty. Manufacturer warranties for materials are assigned as provided by the manufacturer and are not extended by Contractor.

Exclusions: This Estimate excludes repairs to concealed utilities, comprehensive irrigation system overhauls unless specified, tree removal beyond scope, and unresolved soil contamination. Unforeseen conditions may result in additional charges.

CONFIDENTIALITY

Each party agrees to maintain in confidence any nonpublic business or technical information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. Confidential information shall not include information that (i) is or becomes publicly available through no breach, (ii) was known to the receiving party prior to disclosure, or (iii) is independently developed without use of the disclosing party's confidential information. This obligation shall survive termination or expiration of this Estimate for a period of two (2) years.

LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, Contractor's liability for any claim arising out of or related to this Estimate shall be limited to direct damages not to exceed the total amount paid under this Estimate. In no event shall Contractor be liable for consequential, incidental, special, or punitive damages.

GOVERNING LAW

This Estimate shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Estimate, including any attached schedules and subsequently executed Change Orders, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior proposals, negotiations, and agreements, whether written or oral. Any modification must be in writing and signed by both parties.
