Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. WARRANTY AND LIABILITY

Contractor warrants that materials supplied will conform to the specifications in this Agreement and that installation will be performed in a professional manner for a period of days from completion. Remedies for breach of this warranty are limited to repair or replacement of defective work at Contractor's expense, provided Contractor receives written notice within the warranty period.

Except for willful misconduct or gross negligence, Contractor's aggregate liability to Client for any claim related to this Agreement shall not exceed the total contract price paid by Client.

CONFIDENTIALITY

The parties agree that technical, financial and business information exchanged in connection with this Agreement that is marked confidential or which by its nature should reasonably be considered confidential shall be kept confidential and shall not be disclosed to third parties except as required by law or with prior written consent of the disclosing party. This obligation survives termination for a period of two (2) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT
