RECITALS

PAYMENT TERMS

Except as expressly stated herein, Contractor provides no other warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. Each party shall treat as confidential any non-public proprietary information disclosed in connection with this estimate and performance of the work. Confidential information shall not include information that is publicly available or rightfully obtained from third parties. The receiving party shall not disclose confidential information to third parties without prior written consent and shall use at least the same degree of care to protect such information as it uses to protect its own confidential information.

GOVERNING LAW; DISPUTE RESOLUTION

This estimate and any resulting agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflicts of law principles. The parties agree to attempt to resolve disputes through good faith negotiation prior to initiating any formal legal action.

ENTIRE AGREEMENT
