LANDSCAPING SERVICE AGREEMENT

WHEREAS, Client desires the Contractor to provide landscaping, maintenance, installation and related services at the property described above (the "Property"); and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Scope of Work

Contractor shall perform the landscaping services described below. Services shall be performed in a good and workmanlike manner consistent with industry standards and in compliance with applicable laws and regulations.

Client shall provide Contractor reasonable access to the Property and shall notify Contractor of known utility lines, irrigation systems, and underground obstructions. Late Payment: If any undisputed amount is not paid within days after the due date, Contractor may charge interest of % per month on the overdue balance, or the maximum permitted by law, whichever is less. Client shall be responsible for reasonable collection costs, including attorneys' fees, for overdue amounts.

Reimbursable Materials and Subcontractors: Unless otherwise agreed in writing, Client shall reimburse Contractor for the cost of materials, plants, permits, and third-party services incurred for the Project. Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach by the other party if the breaching party fails to cure such breach within 14 days of written notice.

Confidentiality

Each party agrees to hold in confidence and not disclose to any third party any non-public information obtained from the other party in connection with the performance of this Agreement, except as required by law or as necessary to perform the services contemplated herein. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, was lawfully in the receiving party's possession prior to disclosure, or is rightfully obtained from a third party without restriction.

Insurance, Warranties and Indemnity

Contractor represents that it maintains general liability insurance and workers' compensation coverage as required by law. Contractor warrants that work performed will be free from defects in workmanship for a period of 30 days from completion of the work, except for defects arising from materials supplied by the Client or damage caused by third parties. Contractor shall indemnify and hold Client harmless from claims arising from Contractor's negligent acts or omissions in performing the services, subject to applicable law and limitations.

Permits and Compliance

Contractor shall obtain and maintain all permits, licenses and approvals necessary to perform the work unless otherwise specified. Contractor shall comply with applicable federal, state and local codes, ordinances and regulations.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of laws principles.

Entire Agreement

This Agreement, including any attachments or schedules expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by both parties.

Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Contractor may subcontract portions of the work without Client's consent provided Contractor remains responsible for all subcontracted work.
