LANDSCAPING SERVICE CONTRACT

RECITALS

WHEREAS, Client desires to retain Contractor to perform landscaping services at Client's premises identified above, and Contractor represents that it is qualified, experienced and properly licensed to perform such services; and

WHEREAS, Contractor agrees to perform the services described in this Contract in accordance with the terms, specifications, timeline and payment terms set forth herein;

NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows:

SCOPE OF WORK

Contractor shall furnish all labor, equipment, tools, materials and supervision necessary to perform the landscaping services described below at Client's property. Work shall conform to industry-standard practices and applicable law.

PAYMENT TERMS

Client shall pay Contractor the total contract sum as set forth below. Amounts not paid when due shall accrue the agreed late fee and may be subject to suspension of work.

TERM AND TERMINATION

This Contract shall commence on: and shall continue until: .

Either Party may terminate this Contract for convenience upon written notice to the other Party delivered no fewer than days prior to termination. Either Party may terminate for material breach if the breaching Party fails to cure within days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Contractor for all work performed to the date of termination, including reasonable demobilization and related costs.

CHANGES / CHANGE ORDERS

Any change in the scope of work, materials or schedule shall be documented in a written change order signed by both Parties. Change orders shall state any adjustment to the Contract amount or completion date prior to performance of changed work.

INSURANCE, INDEMNIFICATION AND WARRANTIES

Contractor shall maintain and carry commercial general liability insurance and workers' compensation as required by law. Contractor shall indemnify, defend and hold harmless Client from and against any claims, liabilities, losses or expenses arising from Contractor's negligence or willful misconduct, except to the extent caused by Client's negligence.

Contractor warrants that materials and workmanship provided under this Contract shall be free from defects for a period of from completion, subject to normal wear and conditions beyond Contractor's control.

PERMITS, ACCESS AND MATERIALS

Contractor shall obtain and pay for all permits and licenses required to perform the Work unless otherwise agreed in writing. Client shall provide reasonable access to the property and shall notify Contractor of any underground utilities or hazards prior to commencement.

Each Party agrees that Confidential Information disclosed by the other Party in connection with this Contract shall be kept confidential and used solely for performance of this Contract. Confidential Information shall not include information that: (a) is or becomes public through no breach; (b) is independently developed without use of the other Party's confidential information; or (c) is required to be disclosed by law, provided the disclosing Party gives prompt notice to the other and limits disclosure to the extent permitted.

GOVERNING LAW; DISPUTE RESOLUTION

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties shall attempt in good faith to resolve disputes by negotiation prior to initiating litigation.

ENTIRE AGREEMENT; SEVERABILITY

This Contract, including any written change orders executed by the Parties, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior negotiations and agreements. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

NOTICES

Notices under this Contract shall be in writing and delivered to the addresses provided above by hand delivery, certified mail, or other nationally recognized courier service, and shall be effective upon receipt.
