LANDSCAPING SERVICES AGREEMENT

This Landscaping Services Agreement ("Agreement") is made as of the day of , , by and between Client Name: with address at , and Contractor Name: with address at (each a "Party" and collectively the "Parties").

WHEREAS

WHEREAS, Client desires to retain Contractor to perform landscaping services at the property described as: (the "Property");

WHEREAS, Contractor represents that it is experienced, properly licensed, and insured to perform the landscaping services described in this Agreement and agrees to perform such services in accordance with the terms set forth below; and

WHEREAS, the Parties desire to set forth their respective rights and obligations with respect to the performance, payment, and administration of the landscaping work.

SCOPE OF WORK

Contractor shall provide all labor, materials, equipment, supervision, and services necessary to perform the landscaping work described below at the Property. Specific tasks, deliverables, and performance standards are as follows.

PAYMENT TERMS

Client shall pay Contractor for services performed under this Agreement in accordance with the following terms.

All payments are due upon invoice unless otherwise specified in the Payment Schedule. Client shall pay any reasonable costs of collection, including attorneys' fees, for overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within the notice period specified above. Termination shall not relieve Client of its obligation to pay for services performed and costs incurred prior to termination.

CONFIDENTIALITY

Each Party shall keep confidential and shall not disclose to any third party any non-public information or materials obtained from the other Party in connection with this Agreement, except as required by law. Confidential information does not include information that is or becomes publicly available other than through breach of this Agreement.

STANDARDS, WARRANTIES AND INSURANCE

Contractor warrants that services will be performed in a workmanlike manner consistent with industry standards. Contractor shall maintain at all times commercial general liability insurance sufficient for the activities performed and shall provide evidence of insurance upon Client's reasonable request.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Contractor shall indemnify, defend and hold harmless Client from claims, liabilities, losses and expenses arising from Contractor's negligence or willful misconduct. Except for claims arising from willful misconduct or gross negligence, neither Party shall be liable to the other for consequential, incidental, special, or punitive damages.

CHANGES AND CHANGE ORDERS

PERMITS, ACCESS AND COMPLIANCE

Contractor shall obtain and pay for all required permits and shall comply with all applicable laws, codes and regulations in the performance of the services. Client shall provide reasonable access to the Property and shall notify Contractor of any known underground utilities or hazards.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and schedules executed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by both Parties.

NOTICES

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a Party may designate by written notice. Notice shall be deemed given on the date received if delivered personally or by certified mail.
