GOVERNING LAW

This Certificate shall be governed by and construed in accordance with the laws of the state specified by the parties. The parties submit to the exclusive jurisdiction of the courts located therein for disputes arising out of or relating to this Certificate.

ENTIRE AGREEMENT

This Certificate, including the test results, scope of work and payment terms herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals and agreements, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
