LAWN CARE MAINTENANCE AGREEMENT

Recitals (Whereas)

WHEREAS, Client is the owner or authorized occupant of the property identified above and requires routine lawn care and landscape maintenance services; and

WHEREAS, Service Provider is duly qualified, equipped and experienced to perform the lawn care maintenance services described in this Agreement and agrees to perform said services in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth in writing their respective rights and obligations concerning the provision of such services.

Scope of Work

The Scope of Work includes, without limitation, regular mowing, edging, trimming, debris removal, clippings disposal, seasonal leaf removal, and other tasks as specifically described above. Service Provider shall supply all labor, equipment, tools, and materials necessary to perform the services unless otherwise agreed in writing.

Late fee: If payment is not received within days after the due date, a late fee of per month (or the maximum permitted by law) will apply to the outstanding balance.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the intended termination date. Either party may terminate immediately for material breach that remains uncured for fifteen (15) days after written notice specifying the breach.

Confidentiality

Service Provider acknowledges that it may gain access to Client information and property. Service Provider agrees to keep confidential all non-public information concerning Client obtained in the course of performance and shall not disclose such information to third parties except with Client's prior written consent or as required by law. This obligation survives termination of this Agreement for a period of two (2) years.

Insurance, Indemnity and Liability

Service Provider shall maintain commercial general liability insurance and workers' compensation insurance as required by law and shall provide proof of such insurance upon Client's request. Service Provider agrees to indemnify and hold harmless Client from and against any claims, liabilities, damages, and expenses arising from Service Provider's negligence or willful misconduct in the performance of services. Client agrees to notify Service Provider promptly of any claim.

Access and Property

Client grants Service Provider and its employees or subcontractors reasonable access to the property as necessary to perform services. Service Provider will exercise reasonable care to avoid damage to property, plantings and improvements, but Client acknowledges that normal wear and minor incidental damage may occur in the course of performing lawn care. Service Provider is not liable for the death or loss of plants or sod caused by pre-existing conditions, disease, pests, drought or chemical treatments not performed by Service Provider.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement

This Agreement, including any attachments, schedules or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. Any modification of this Agreement must be in writing and signed by both parties.
