LAWNCARE SERVICE AGREEMENT

This Lawncare Service Agreement ("Agreement") is made effective as of by and between Client Name: with Address: , and Contractor Name: with Address: .

WHEREAS

WHEREAS, Client owns or controls the property located at Service Location: (the "Property") and desires routine lawn maintenance and related services; and

WHEREAS, Contractor is duly qualified, experienced and able to perform lawncare services and agrees to provide such services to Client under the terms and conditions set forth in this Agreement.

SCOPE OF WORK

Services shall include, at minimum: mowing, edging, trimming, debris removal, and disposal of clippings as specified in the Scope of Work. Any additional services (fertilization, aeration, pest treatment) will be provided only upon written agreement signed by both parties and may be billed separately.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any information designated in writing as confidential by the other party or which by its nature is reasonably understood to be confidential, except as required by law. Confidential information shall not include information that is publicly available through no fault of the receiving party or that is independently developed without reference to the disclosing party's confidential information.

INSURANCE, LIABILITY AND INDEMNIFICATION

Contractor represents that it maintains general liability insurance in commercially reasonable amounts and shall furnish proof of insurance upon request. Contractor shall exercise reasonable care in performing services. Client acknowledges and agrees that Contractor is not responsible for pre-existing conditions of the lawn or hidden obstacles that may affect service. To the fullest extent permitted by law, Client shall indemnify, defend and hold Contractor harmless from any claims, losses or damages arising from Client's negligence, breach of this Agreement, or the condition of the Property, except to the extent caused by Contractor's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any written attachments or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
