Lead Guide Service Contract

This Lead Guide Service Contract (the "Contract") is entered into on Effective Date: by and between Client Name: and Service Provider (Guide) Name: .

WHEREAS

WHEREAS, Client desires to engage Guide to perform lead guiding services for outdoor recreational activities as described in this Contract; and

WHEREAS, Guide represents that Guide is experienced, trained, and properly licensed to provide guiding services, and agrees to perform such services in a professional and safe manner in accordance with industry standards; and

WHEREAS, the parties desire to set forth the terms and conditions governing the provision of such services.

Scope of Work

Guide shall provide lead guiding services including route selection, safety oversight, instruction, emergency response, and group management on the dates and locations agreed by the parties. Specific services, objectives, and deliverables are described below.

Payment Terms

Client shall pay Guide the fees described below in consideration for the services rendered. All fees are exclusive of applicable taxes unless otherwise stated.

Late payments shall incur interest at the rate of on overdue amounts, calculated monthly, or the maximum rate permitted by law, whichever is lower. Guide may suspend services for failure to pay undisputed fees thirty (30) days after written notice.

Term and Termination

This Contract commences on Start Date: and terminates on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Contract for any reason upon written notice to the other party delivered not less than days prior to the intended termination date. Guide may immediately terminate without notice if Client's conduct or condition presents an imminent safety risk to participants or Guide.

Confidentiality

Each party shall keep confidential all proprietary, technical, commercial, and other non-public information of the other party disclosed in connection with this Contract ("Confidential Information"). Confidential Information does not include information that is or becomes publicly known through no breach of this Contract, or that is independently developed by the receiving party. The receiving party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

The obligation of confidentiality shall survive termination of this Contract for a period of years.

Liability, Assumption of Risk, and Indemnification

Client acknowledges that outdoor guiding, travel, and related activities involve inherent risks, including but not limited to variable weather, terrain hazards, wildlife encounters, and the risk of serious injury or death. Client voluntarily assumes all such risks and agrees that Guide is not liable for personal injury, property loss, or death to the extent arising from inherent risk or Client's own negligence.

To the fullest extent permitted by law, Client shall indemnify, defend, and hold harmless Guide and Guide's agents, employees, and contractors from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of Client's acts or omissions, breach of this Contract, or negligent or willful conduct.

Equipment, Permits, and Safety

Unless otherwise agreed in writing, Client shall supply personal protective equipment and clothing appropriate for the activity. Guide will provide technical equipment only if specified in the Scope of Work and only when such equipment is maintained according to industry standards. Client is responsible for obtaining any required permits or licenses unless otherwise stated.

Cancellation, Weather, and Force Majeure

If Client cancels fewer than days before the scheduled start, Client shall forfeit the deposit and may be responsible for additional fees to compensate Guide for lost time and preparations. If Guide cancels due to unsafe conditions, severe weather, or force majeure, Guide will use reasonable efforts to reschedule or issue a pro rata refund of amounts paid for services not rendered. Force majeure events include, but are not limited to, extreme weather, natural disaster, civil disorder, or governmental restriction.

Governing Law; Dispute Resolution

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any dispute arising out of or relating to this Contract shall be resolved first by good faith negotiation between the parties. If unresolved within thirty (30) days, disputes may be resolved by binding arbitration pursuant to the parties' agreement, or in courts of competent jurisdiction within the governing state.

Entire Agreement; Amendment; Severability

This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment or modification must be in writing and signed by both parties. If any provision of this Contract is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

All notices required or permitted under this Contract shall be in writing and delivered to the addresses below by hand, certified mail, or other agreed method. Notice is effective upon receipt.
