LEAD INSPECTION SERVICES AGREEMENT

This Lead Inspection Services Agreement (the Agreement) is entered into as of (Effective Date), by and between:

WHEREAS

WHEREAS, Client desires to obtain inspection and testing services related to the presence of lead-containing paint, dust, soil, or other media at locations identified by Client, and

WHEREAS, Inspector is duly qualified, experienced, and certified as required by applicable law to perform lead inspection, sampling, and reporting services, and agrees to perform such services for Client under the terms and conditions set forth in this Agreement.

SCOPE OF WORK

Inspector will perform the inspection, sampling, analysis, and reporting described below for the property or properties identified by Client. Inspector shall perform work in accordance with industry standards and applicable law.

REPORTS AND DELIVERABLES

Inspector shall deliver written reports documenting inspection methods, sample locations, analytical results, chain-of-custody, conclusions, and recommendations. Reports will be delivered to Client in electronic and/or paper form as specified below.

PAYMENT TERMS

Client shall pay Inspector for services rendered as follows. All fees are exclusive of taxes, permit fees, and laboratory charges unless otherwise stated.

TERM; TERMINATION

This Agreement shall commence on and shall continue until completion of the services or until , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' written notice to the other party. Termination for cause may occur upon material breach if the breaching party fails to cure within 10 days after written notice, or immediately where required by law for safety or health reasons.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information received from the other party in connection with this Agreement and shall not disclose such information except to employees, agents, subcontractors, or laboratories who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Confidential information does not include information that is or becomes publicly available other than by a breach of this Agreement, or that is independently developed by the receiving party.

INSURANCE; LIMITATION OF LIABILITY; INDEMNIFICATION

Inspector shall maintain insurance customary for lead inspection services, including commercial general liability and professional liability insurance with limits reasonable for the scope of the work. Inspector's total liability for any claim arising out of or relating to this Agreement shall be limited to the amount of fees paid by Client for the specific task giving rise to the claim, except for liability resulting from willful misconduct or gross negligence. Client shall indemnify and hold Inspector harmless from third-party claims arising from Client-provided conditions or actions, except to the extent caused by Inspector's negligence or willful misconduct.

ACCESS, COOPERATION, AND SAFETY

Client shall provide Inspector and its personnel reasonable access to the property, utilities, and work areas, and shall ensure that work areas are safe and free of conditions that would unreasonably endanger Inspector's personnel. Client is responsible for notifying occupants and obtaining any required permissions for inspection and sampling. Inspector will follow applicable safety protocols and shall stop work if conditions present an imminent hazard, notifying Client promptly.

COMPLIANCE WITH LAW; LEAD HANDLING

Inspector will perform services in a manner consistent with applicable laws, regulations, and recognized industry practices governing lead inspection, sampling, and handling. Client acknowledges that Inspector's role is limited to inspection and testing; any abatement, remediation, or disposal of lead-containing materials is outside the scope of this Agreement unless expressly agreed in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments, proposals, or purchase orders expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings. Any amendments or modifications must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notices shall be deemed effective upon receipt.
