Leadership Liability Waiver

Recitals

WHEREAS, Organization Name: (the "Organization") engages persons to serve in leadership roles and to perform duties on behalf of the Organization;

WHEREAS, Leader Name: (the "Leader") has agreed to serve in a leadership capacity and perform responsibilities described below; and

WHEREAS, the Organization and the Leader desire to set forth the allocation of responsibility, indemnification, and waiver of certain liabilities consistent with applicable law and the scope of the Leader's duties.

This Agreement is effective as of Effective Date: .

The initial term begins on Start Date: and ends on End Date: unless terminated earlier in accordance with this Agreement.

Confidentiality

The Leader shall hold in strict confidence all nonpublic commercially sensitive information and trade secrets of the Organization that are disclosed or accessed in connection with performance of the Scope of Work. Confidential information excludes information that (a) is or becomes generally known to the public other than through breach of this Agreement, (b) was lawfully in the Leader's possession prior to disclosure, or (c) is required to be disclosed by judicial or governmental order, provided the Leader gives prompt written notice to the Organization where lawful and practicable.

Release and Waiver of Liability

To the fullest extent permitted by law, the Leader hereby releases and discharges the Organization and its affiliates, directors, officers, employees, agents and volunteers (collectively, the "Released Parties") from any and all claims, liabilities, demands, causes of action, damages, costs and expenses (including reasonable attorneys' fees) that the Leader may have relating to or arising out of the Leader's performance of duties under this Agreement, except to the extent such claims arise from a final judicial determination of gross negligence, willful misconduct, fraud, criminal act, or intentional breach of law by a Released Party.

Indemnification

The Organization agrees to indemnify, defend and hold harmless the Leader from and against any third-party claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from actions taken by the Leader within the good faith scope of the Leader's authority, provided the Leader promptly notifies the Organization of such claim and cooperates in its defense. The Organization's indemnity obligation shall not cover claims resulting from the Leader's gross negligence, willful misconduct, fraud, or criminal acts.

Limitation of Liability

Except for liability arising from willful misconduct, gross negligence, fraud, or criminal conduct, the aggregate monetary liability of each party to the other under this Agreement shall not exceed the total compensation actually paid to the Leader under this Agreement during the twelve (12) months immediately preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This Agreement constitutes the entire agreement and understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.

Acknowledgements

I, the undersigned Leader, acknowledge that I have read, understand, and voluntarily execute this Leadership Liability Waiver.

I acknowledge I had the opportunity to seek independent legal counsel and that execution of this document is voluntary.
