Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for days following written notice. Provider may also terminate if Client fails to make timely payments as set forth above.

Confidentiality

The parties acknowledge that during performance of the services, each may obtain confidential information of the other. Each party agrees to maintain the confidentiality of such information and to use it solely for performing obligations under this Agreement. Confidential information does not include information that is publicly known, rightfully received from a third party, or independently developed without use of the other's confidential information.
