What the LeafGuard Business Agreement Covers

The LeafGuard Business Agreement is a contractual document that sets the terms between a LeafGuard installer or authorized dealer and a commercial or residential property owner or manager. It typically outlines scope of work, materials and installation specifications, pricing, payment schedule, warranty terms, indemnification, and termination rights. The agreement establishes responsibilities for site access, change orders, and insurance. When properly executed it creates binding obligations between the parties and should be retained with project records. Optional addenda may address local permitting, lien waivers, or specialized maintenance plans.

Why a Clear Agreement Matters

Use this agreement to clarify performance expectations, limit disputes, and document payment and warranty commitments. A clear, complete LeafGuard Business Agreement reduces risk, supports collections and insurance claims, and helps each party understand remedies and timelines.

Why a Clear Agreement Matters

Who Typically Uses This Agreement

Installers, authorized dealers, property owners, and facility managers commonly use the LeafGuard Business Agreement to document scope, price, and warranty terms before work begins.

  • Installers and dealers — formalize installation scope, change orders, and warranty obligations before scheduling work.
  • Property owners/managers — confirm pricing, site access, insurance, and completion timelines to avoid disputes.
  • Lenders or insurers — require signed agreements for proof of contractual obligations and risk assessment.

Smaller contractors may use templates, while larger enterprises integrate addenda, change-order processes, and insurance exhibits into the agreement.

Authorized Signers: Typical Profiles

Company Officer

An officer (president, COO, CFO) may sign for a corporation when authorized by corporate bylaws or a board resolution. Verify authority by requesting a corporate resolution or officer's title on company letterhead; mismatched authority can render the agreement unenforceable in some disputes.

Business Owner

A sole proprietor or LLC member can sign if the operating agreement or ownership documents permit. For multi-member entities, obtain written consent or a management resolution. Collect and retain documentation proving signer authority to reduce later challenges to contract validity.

Core Provisions to Include

A complete LeafGuard Business Agreement organizes essential contract terms, assigns risk, and clarifies post-installation obligations for both parties, including warranty and payment details.

Scope

Describe exact installation tasks, excluded services, materials, and site preparation responsibilities. Include measurable completion criteria and reference any attachments such as drawings or manufacturer specifications.

Pricing

List total price, itemized costs for materials and labor, payment milestones, accepted payment methods, and late fee or interest provisions. Specify who pays permits, taxes, or inspection fees.

Warranty

State warranty duration, scope, exclusions, and the process for claims and repairs. Identify whether manufacturer warranties apply and whether workmanship warranty transfers to new owners.

Liability

Allocate responsibility for property damage, indemnification, insurance requirements, and limits on consequential damages. Require proof of contractor insurance and specify minimum coverage amounts and policy types.

Additional Clauses and Protections

Include specialty clauses that address risk allocation, dispute resolution, and post-installation service to protect both parties' expectations and clarify remedies.

Indemnity

Clearly define the scope of indemnification for bodily injury, property damage, and third-party claims. Identify limits, exclusions, and the procedures for providing notice and defending claims to avoid costly litigation surprises.

Insurance

Require contractor to carry general liability and workers' compensation insurance, name the customer as additional insured when appropriate, and provide certificates of insurance prior to site work starting.

Dispute Resolution

Specify governing law, venue, and whether disputes proceed to mediation or arbitration before litigation. Clear resolution paths reduce cost and preserve business relationships for construction and service claims.

Change Orders

Define a written change order process requiring price, scope, and schedule adjustments signed by both parties. Include how emergencies or concealed conditions are handled and billed.

Data Privacy

If collecting personal information, include data handling obligations, retention limits, and security measures. For healthcare-related sites add HIPAA considerations and a BAA where protected health information is processed.

Termination

Describe termination for convenience and for cause, required notice periods, any cure windows, and obligations on termination such as final payment or removal of materials.

Best Practices for Accuracy and Efficiency

Adopt standard templates, version control, and centralized recordkeeping to reduce errors and speed approvals for LeafGuard agreements.

Use a governed master agreement template
Maintain a single approved template that includes all required clauses, update it when laws change, and route changes through legal review. This reduces drafting variation, accelerates approvals, and ensures consistent warranty and liability language across projects.
Put all change orders in writing
Require a signed change order form detailing scope, price, and schedule impacts before commencing additional work. Track approvals and attach change orders to the base agreement to prevent later disputes and simplify invoicing and lien waiver processes.
Verify signer identity and authority
Confirm the signer's full legal name, title, and authority; collect supporting documents when needed such as corporate resolutions or power of attorney. Accurate identity verification reduces the risk of later challenges to enforceability.
Retain signed originals and audit trails
Store executed agreements, any addenda, and the signing audit trail in a secure, access-controlled repository. Maintain retention schedules consistent with IRS, HIPAA, and state requirements when applicable to preserve legal rights and meet regulatory obligations.

Common Preparation Pitfalls to Avoid

  • Vague scope descriptions leave room for interpretation and dispute; specify materials, precise installation steps, and exclusions to avoid contractor-client disagreements and added costs.
  • Having unsigned pages, missing dates, or a non-authorized signer can invalidate the agreement or complicate enforcement in court.
  • Not detailing warranty coverage, claim procedures, or response windows often delays repairs and increases customer dissatisfaction and legal exposure.
  • Skipping a formal change order clause causes billing disputes for extra work, leaving both parties without clear remedy or pricing method.

Penalties and Risks of Incorrect or Incomplete Agreements

Late Payment: Interest, collections
Missing Warranty: Void or limited coverage
Incorrect Scope: Change orders disputes
Improper Signature: Contract may be voidable
Tax Withholding: Backup withholding possible
I-9 Noncompliance: Penalties per DHS

Real-World Examples of Electronic Agreement Use

These examples show how companies use e-signing to execute field service and installation agreements quickly and securely.

Tim Martin — Martin Properties

Martin Properties reduced signature turnaround by moving installation contracts online using an e-signature platform securely

  • Mobile and offline signing increased completion rates
  • According to Tim Martin, the ability to process and execute documents online improved compliance and speed; mobile access meant field technicians signed onsite and returned executed agreements immediately, reducing project delays and administrative follow-up.

Dan Rotelli — BIS

BIS prioritized a compliant e-signature workflow to meet enterprise security and audit requirements when executing business agreements

  • SOC 2 and ESIGN/UETA compliance mattered
  • Dan Rotelli noted that choosing a platform with SOC 2 controls and adherence to ESIGN and UETA provided confidence in audit trails and record retention, simplifying internal reviews and third-party due diligence for signed agreements.
