This Leak Detection Service Guide and Agreement (the "Agreement") is entered into as of Effective Date: between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client owns or controls the property identified in this Agreement and desires to locate, identify, and document subsurface and above-ground leaks in water, gas, or other fluid conveyance systems; and

WHEREAS, Service Provider is engaged in the business of leak detection, diagnostics, and related reporting and possesses the training, equipment, and expertise to perform the services described below;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

SCOPE OF WORK

Service Provider shall perform leak detection services at the Service Address specified below, using industry-standard techniques appropriate to the reported issue. Services may include but are not limited to electronic leak detection, acoustic correlation, tracer gas testing, pressure testing, thermal imaging, and visual inspection. Detailed scope, limitations, and expected deliverables are described in the text box below.

SERVICE PROCEDURES AND OPTIONS

The following standard procedures are available. Client may select one or more procedures. Service Provider will document which procedures were used in the final report.

ACCESS, SITE INFORMATION, AND CLIENT OBLIGATIONS

Client shall secure necessary permissions for access, disarm alarms where required, and ensure a safe working environment. Service Provider is not responsible for delays resulting from Client's failure to provide access or required utilities.

PAYMENT TERMS

Client agrees to pay Service Provider the fees set forth below according to the schedule. All fees are payable in U.S. dollars unless otherwise agreed in writing.

If Client fails to pay any undisputed sum when due, Service Provider may suspend services after providing written notice and a reasonable cure period. Client shall be responsible for reasonable collection costs, including attorneys' fees, for overdue balances.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Upon termination, Client shall pay for services performed and expenses incurred through the effective termination date. If Service Provider terminates for Client's material breach, Service Provider may recover reasonable damages.

CONFIDENTIALITY

Each party agrees that all non-public technical, financial, and business information disclosed by one party to the other in connection with the services (Confidential Information) shall be held in confidence and used solely for performance under this Agreement. Confidential Information shall not include information that is or becomes publicly available through no breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed without reference to the other party's Confidential Information.

Service Provider may disclose Confidential Information to its employees, subcontractors, or professional advisors on a need-to-know basis provided such persons are bound by confidentiality obligations at least as protective as this clause. Upon termination or written request, the receiving party shall return or destroy Confidential Information, except for one archival copy retained for legal or compliance purposes.

LIABILITY, INDEMNITY, AND INSURANCE

Service Provider will carry and maintain commercially reasonable insurance appropriate to the scope of work. Service Provider's liability for direct damages arising out of or related to this Agreement shall be limited to the fees paid by Client to Service Provider for the portion of services giving rise to the claim. Neither party shall be liable for consequential, incidental, special, or punitive damages except in cases of gross negligence or willful misconduct.

Client agrees to indemnify and hold Service Provider harmless from and against claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement, negligence, or willful misconduct, except to the extent caused by Service Provider's gross negligence or willful misconduct.

REPORTING AND DELIVERABLES

The final report will identify testing methods used, locations tested, results, recommended repairs or further investigation, and any limitations or caveats. Service Provider's report is an advisory document based on observed conditions at the time of inspection and does not constitute a warranty of future conditions or absolute leak elimination.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

ENTIRE AGREEMENT AND AMENDMENT

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. Any modification or amendment must be in writing and signed by authorized representatives of both parties.

SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision achieving the original intent.
