LEAK REPAIR AGREEMENT

WHEREAS

WHEREAS, Client has discovered a leak or suspected leakage at the property identified above and requires repairs and associated services to locate, stop, and remediate the condition; and

WHEREAS, Contractor represents that it possesses the experience, equipment, licenses, and insurance necessary to perform leak detection, repair, and related work in a professional manner; and

WHEREAS, the parties desire to set forth their rights and responsibilities with respect to the work and payment terms in this Agreement.

Contractor shall perform the tasks described below and any ancillary services reasonably necessary to complete the repair in a workmanlike manner consistent with industry standards. Description of work:

TERM AND TERMINATION

Either party may terminate for convenience upon written notice provided at least days prior to the intended termination date. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party will hold in confidence any non-public information disclosed by the other party that is marked confidential or that, under the circumstances, ought reasonably to be treated as confidential. Confidential information shall not include information that is or becomes publicly available through no wrongful act of the receiving party or is rightfully received from a third party without breach of any obligation of confidentiality. The obligations in this paragraph survive termination of this Agreement for a period of two (2) years.

LIABILITY, INSURANCE, AND INDEMNIFICATION

Contractor shall maintain commercial general liability insurance and, where applicable, workers' compensation in amounts customary for the trade. Contractor agrees to indemnify, defend and hold harmless Client from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Contractor's performance of the work, except to the extent caused by Client's negligence or willful misconduct.

Except for liability arising from gross negligence or willful misconduct, neither party's liability to the other shall exceed the total compensation paid under this Agreement.

PERMITS, ACCESS, AND SITE CONDITIONS

Client shall provide Contractor reasonable access to the property during normal business hours and shall be responsible for costs and fees for permits, inspections, and approvals required by local authorities, unless otherwise agreed in writing. Contractor shall promptly notify Client of any site conditions that materially differ from those represented prior to execution of this Agreement.

CHANGE ORDERS

Any change to the Scope of Work that affects cost or schedule shall be documented in a written change order signed by both parties. Change order requests shall include a description of the change, cost impact, and schedule impact.

WARRANTY

Contractor warrants that the repair work performed under this Agreement shall be free from defects in workmanship for a period of from the date of completion. This warranty does not cover defects resulting from subsequent neglect, misuse, or damage by others.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and any duly executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.
