LEASE AGREEMENT

This Lease Agreement ("Agreement") is made and entered into as of by and between Landlord Name: whose address is (hereinafter "Landlord"), and Tenant Name: whose address is (hereinafter "Tenant").

RECITALS

WHEREAS, Landlord is the lawful owner of certain real property and improvements located at (the "Premises"); and

WHEREAS, Tenant desires to lease the Premises from Landlord for the purposes and upon the terms set forth herein; and

WHEREAS, Landlord is willing to lease the Premises to Tenant subject to the conditions and covenants contained in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. PREMISES

1.1 Description. Landlord hereby leases to Tenant and Tenant hereby leases from Landlord the Premises located at consisting of the improvements and appurtenances thereto.

2. TERM

2.1 Term. The term of this Lease shall commence on and shall expire on unless sooner terminated in accordance with this Agreement.

3. RENT

3.1 Base Rent. Tenant shall pay to Landlord as rent for the Premises the sum of $ per month, payable in advance on or before the first day of each calendar month during the Term.

3.2 Additional Charges. Tenant shall also be responsible for all utilities and services to the Premises except as expressly provided otherwise in this Agreement. Tenant shall reimburse Landlord for any unpaid utilities or services paid by Landlord within thirty (30) days of demand.

4. SECURITY DEPOSIT

4.1 Use and Return. The Security Deposit shall secure Tenant's performance of this Agreement. Landlord may use the Security Deposit to cure defaults, repair damage, or satisfy unpaid rent. Landlord shall return the remaining Security Deposit, if any, together with an itemized statement of deductions, within the time required by applicable law.

5. USE AND OCCUPANCY

5.1 Compliance. Tenant shall use the Premises only for the Permitted Use and shall comply with all applicable laws, ordinances, regulations, and requirements of governmental authorities. Tenant shall not commit or permit waste or nuisance on the Premises.

6. MAINTENANCE, REPAIRS AND ALTERATIONS

6.1 Tenant Obligations. Tenant shall keep the Premises in a clean, safe and rentable condition and shall perform routine maintenance and repairs caused by Tenant's negligence or misuse. Tenant shall promptly notify Landlord of any condition requiring structural or major repair.

6.2 Landlord Obligations. Landlord shall be responsible for repairs to the structural elements of the Premises and for systems serving the Premises unless damage is caused by Tenant's acts or omissions. Landlord shall, within a reasonable time after notice, make such repairs.

7. INSURANCE AND INDEMNITY

7.1 Tenant Insurance. Tenant shall, at Tenant's expense, maintain liability insurance covering Tenant's use and occupancy of the Premises with limits no less than those specified by Landlord, and shall provide certificates of insurance naming Landlord as additional insured upon request.

7.2 Indemnity. Tenant shall indemnify, defend and hold Landlord harmless from and against any and all claims, liabilities, costs, losses and expenses arising from Tenant's use of the Premises, except to the extent caused by Landlord's gross negligence or willful misconduct.

8. ASSIGNMENT AND SUBLETTING

8.1 Restrictions. Tenant shall not assign this Agreement or sublet the Premises, or any part thereof, without the prior written consent of Landlord, which consent shall not be unreasonably withheld. Any attempted assignment without consent shall be void and, at Landlord's option, constitute a default.

9. DEFAULT; REMEDIES

9.1 Events of Default. The following shall constitute events of default: (a) Tenant's failure to pay rent when due; (b) Tenant's failure to perform any other obligation under this Agreement and failure to cure such breach within days after written notice; or (c) Tenant's insolvency, bankruptcy or abandonment of the Premises.

9.2 Remedies. Upon the occurrence of any event of default, Landlord shall have all remedies provided by law or equity, including termination of this Agreement, recovery of rent and damages, and possession of the Premises. Landlord's exercise of one remedy shall not preclude exercise of any other remedy.

10. HOLDOVER

10.1 If Tenant remains in possession after the expiration or earlier termination of this Lease without Landlord's written consent, Tenant shall be a monthly tenant at holdover rent specified above and shall be liable for all damages incurred by Landlord.

11. NOTICES

11.1 Demand and Notice Addresses. All notices and communications required or permitted under this Agreement shall be in writing and delivered to the addresses below (or to such other address as a party may designate by written notice):

12. GOVERNING LAW; VENUE

12.1 This Agreement shall be governed by and construed in accordance with the laws of the state specified above without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in the county in which the Premises are located for any dispute arising out of this Agreement.

13. ENTIRE AGREEMENT; AMENDMENTS; SEVERABILITY

13.1 Entire Agreement. This Agreement, together with any written exhibits or addenda expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral.

13.2 Amendment. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

13.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected thereby.

14. MISCELLANEOUS

14.1 Waiver. No waiver by either party of any breach or default shall be deemed a waiver of any subsequent breach or default.

14.2 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
