What a Lease Letter of Intent Form Is and When It’s Used

A Lease Letter of Intent Form (LOI) is a preliminary document that outlines the principal terms of a proposed lease before drafting a full lease agreement. It typically sets the premises, lease term, rent, tenant improvements, contingencies, due diligence periods, and exclusivity or negotiation windows. An LOI can be written as binding or non-binding on particular provisions; clarity on intent and which clauses are binding helps avoid later disputes. Real estate professionals, landlords, tenants, and counsel use LOIs to align commercial expectations and speed up negotiations.

Why a Clear Lease LOI Matters

A well-drafted LOI reduces ambiguity, focuses negotiations on key commercial terms, and shortens time to a definitive lease. It preserves leverage and documents agreed points for counsel to convert efficiently into a formal lease.

Why a Clear Lease LOI Matters

Common parties who prepare and review a Lease Letter of Intent Form

Each party should confirm which LOI provisions are intended to be binding and document any contingencies to avoid surprise obligations during lease drafting.

  • Landlords and property managers assessing tenant interest and negotiating business terms for the space.
  • Prospective tenants confirming rent, TI allowances, and due diligence timelines before committing resources.
  • Commercial brokers coordinating offers, exclusivity periods, and deal timing between parties.

Core components to include in a professional Lease Letter of Intent Form

Include concise, unambiguous language for each element so attorneys can convert mutual terms into a lease quickly and accurately.

Premises

Describe the physical space clearly by address, suite number, rentable area, and any excluded areas to avoid disputes about boundaries.

Term

State the lease start date, initial term length, renewal options, and any early possession or pre-buildout occupancy details.

Rent & Escalations

Specify base rent, payment frequency, CAM charges, CPI or fixed escalations, and payment address or ACH instructions when known.

Tenant Improvements

Identify allowance, scope, landlord-provided work, developer coordination, and responsibility for change orders and permits.

Contingencies

List conditions precedent such as landlord approvals, zoning, financing, inspections, environmental reports, and lease execution.

Exclusivity & Binding Terms

State whether confidentiality, exclusivity, or deal-cost reimbursement language is binding; otherwise note the LOI is non-binding.

Step-by-step: how to complete a Lease Letter of Intent Form

Follow these steps in sequence to prepare an LOI that is clear, enforceable where intended, and ready for counsel review.

  • 01
Gather documents: Collect proof of authority, property details, and prior offers.
  • 02
Draft core terms: Fill in premises, term, rent, TI, contingencies, and dates.
  • 03
Flag binding items: Clearly mark confidentiality, exclusivity, or costs as binding.
  • 04
Review and sign: Have authorized signers review and sign (electronic allowed when consented).

Configuring an online LOI workflow for digital completion

Define fields, signer order, and authentication before sending to streamline eSignature and recordkeeping.

Field Configuration
Signer order Sequential or parallel by parties; set required signers.
Authentication Email link, SMS code, or KBA for stronger identity verification.
Conditional fields Show TI fields only if landlord provides allowance.
Audit trail Enable full timestamps, IP capture, and certificate generation.

Where to send or file the completed Lease LOI

Choose delivery and storage routes that satisfy both operational and legal retention requirements.

  • To opposing counsel: Send the signed LOI to legal representatives for review.
  • To broker or agent: Provide executed copies to brokers to coordinate next steps.
  • Company records: Store executed LOI in the tenant or landlord document repository.
  • eSignature platform: Upload and retain the final PDF with audit trail metadata.

Technical considerations for electronic completion and delivery

Platforms that provide tamper-evident PDFs, audit logs, and configurable authentication simplify compliance and later lease conversion.

  • Integrations: CRM and document storage integrations reduce manual entry.
  • File formats: Use PDF or DOCX to preserve layout and signatures.
  • Authentication methods: Email, SMS, KBA, or single sign-on depending on risk.

Typical timelines and deadlines in a Lease LOI

Set clear, calendar-based deadlines for responses and deliverables so both parties can track critical milestones.

LOI submission deadline:

Date by which the prospective tenant must deliver the signed LOI.

Landlord response window:

Days allowed for landlord acceptance or counteroffer, typically 3–10 business days.

Exclusivity / negotiation period:

Number of days landlord will refrain from negotiating with others.

Due diligence period:

Inspection and approval timeline (commonly 30–60 days).

Target lease execution date:

Proposed date for signing the definitive lease agreement.

Common mistakes to avoid when preparing a Lease LOI

  • Leaving binding vs non-binding language unspecified, which can create unintended legal obligations and slow negotiations.
  • Failing to identify the authorized signatory or the signing authority for corporate entities, leading to execution challenges.
  • Using vague rent or TI language such as 'market rent' or 'reasonable allowance' without defined metrics.
  • Neglecting to set or confirm exclusivity and due diligence dates, causing scheduling conflicts and lost priority.

Key risks and consequences of an incorrect or unclear LOI

Unintended Obligation: Enforceable obligations may arise
Negotiation Delay: Contract execution delayed
Financial Exposure: Unexpected costs or reimbursements
Title or Survey Issues: Due diligence failures risk denial
Authority Disputes: Signatures challenged later
Confidentiality Breach: Private terms disclosed

Practical tips to complete a Lease LOI accurately and efficiently

Adopt a consistent template, verify signer authority, and use eSignature platforms that capture a complete audit trail.

Use a single template across deals
Standard templates reduce drafting errors and ensure essential clauses are present; templates should be reviewed periodically by counsel for consistency with local law.
Clearly state binding clauses
Explicitly identify which provisions of the LOI are intended to be legally binding to prevent unintended obligations.
Confirm signer authority
Obtain a signing certificate or corporate resolution when the party is an entity; this avoids later challenges to signature validity.
Capture an audit trail
Use an eSignature service that records timestamps, IP addresses, and signer authentication to support enforceability.
