If Owner materially breaches this Agreement, Broker may terminate and pursue available legal remedies, including recovery of earned commission. Owner shall indemnify and hold Broker harmless from claims arising from Owner's negligent acts, representations, or failure to disclose material facts. Broker shall maintain commercially reasonable errors and omissions insurance and general liability insurance as required by Broker's policies.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. Venue for disputes shall be the courts of the county where the Property is located.

Entire Agreement: This Agreement contains the entire agreement of the parties concerning the listing and supersedes all prior negotiations and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
