LEASE PROPOSAL AGREEMENT

RECITALS

6.2 Maintenance and Repairs: Tenant shall perform routine maintenance and keep the Premises in good order. Landlord shall maintain structural components and common areas as set forth in the Lease.

6.3 Alterations: Tenant shall not make alterations, additions or improvements to the Premises without Landlord's prior written consent, which shall not be unreasonably withheld for Tenant's minor non-structural improvements.

7. INSURANCE AND INDEMNITY

7.1 Insurance: Tenant shall procure and maintain commercial general liability insurance and property insurance as required by the Lease, naming Landlord as an additional insured where appropriate. Minimum coverage limits shall be set forth in the Lease.

7.2 Indemnity: Tenant agrees to indemnify, defend and hold Landlord harmless from and against all claims, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising from Tenant's use or occupancy of the Premises, except to the extent caused by Landlord's gross negligence or willful misconduct.

8. DEFAULT AND REMEDIES

8.1 Event of Default: The Lease shall specify events of default, including failure to pay rent within specified grace periods, insolvency, abandonment of the Premises, or material breach of Lease obligations.

8.2 Remedies: Upon Tenant's default, Landlord shall have all remedies available at law and in equity, including the right to terminate the Lease, recover damages, and pursue specific performance where appropriate. Landlord's election of any remedy shall not preclude the exercise of other remedies.

9. ASSIGNMENT AND SUBLETTING

9.1 Tenant shall not assign the Lease or sublet the Premises, in whole or in part, without Landlord's prior written consent, which consent shall not be unreasonably withheld for transfers to affiliated entities or qualified assignees as defined in the Lease.

10. NOTICES

All notices, demands or communications required or permitted under this Proposal or the Lease shall be in writing and delivered to the addresses set forth below by hand delivery, nationally recognized overnight courier, or certified mail, return receipt requested, and shall be effective upon receipt.

11. AMENDMENTS; WAIVER; COUNTERPARTS

11.1 Amendments to this Proposal or to the Lease shall be valid only if in writing and signed by both parties. No waiver by either party of any breach shall constitute a waiver of any subsequent breach.

11.2 This Proposal and the Lease may be executed in counterparts and by electronic signature, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law: This Proposal and any resulting Lease shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflict of laws.
