During the lease term, responsibility for routine maintenance and minor repairs shall be borne by Buyer, and major structural repairs shall remain Seller's responsibility unless caused by Buyer neglect. Utilities shall be paid by:

Default and Remedies

If Buyer fails to pay rent, deposit, or otherwise breaches material obligations and fails to cure within the applicable cure period, Seller may terminate the lease and retain option fee and any rent credits as liquidated damages, seek specific performance where available, or pursue other remedies at law or equity. If Seller materially breaches obligations, Buyer may seek specific performance or damages and may terminate this Agreement as provided herein.

This Agreement shall be governed by the substantive laws of the state in which the Property is located. Any modification must be in writing and signed by both parties.

All notices under this Agreement must be in writing and delivered to the contact addresses below by hand, certified mail, or overnight courier. Notices shall be effective upon receipt.

Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Buyer may assign to an entity controlled by Buyer with Seller's prior written consent, which shall not be unreasonably withheld.

Brokers: Any broker commissions due as a result of this transaction shall be paid as agreed in a separate written agreement and shall not be the responsibility of the non-contracting broker.
