What a Lease Renewal Proposal Is and when it’s used

A Lease Renewal Proposal is a formal written offer presented by a landlord or property manager to an existing tenant proposing new lease terms for a subsequent term. It typically summarizes proposed rent, term length, any changes to utilities or maintenance responsibilities, and special conditions such as rent increases, concessions, or tenant improvements. The document documents intentions before drafting a binding lease amendment or replacement lease and can be delivered as a negotiation tool, an offer for signature, or an internal record during lease portfolio management.

Why prepare a clear Lease Renewal Proposal

A concise proposal reduces misunderstandings, accelerates decision-making, and creates an auditable record of the parties’ proposed terms prior to final execution. Clear proposals help preserve tenant relations, support accounting and budgeting for rent changes, and provide a consistent basis for converting agreed terms into an enforceable lease amendment or new lease.

Why prepare a clear Lease Renewal Proposal

Who typically prepares and reviews a renewal proposal

Each party should keep a dated copy of the proposal and any counters to support later drafting of the binding agreement.

  • Property owners and managers who prepare proposals and set target terms for renewal negotiations.
  • Leasing agents and brokers who draft proposals as part of the lease negotiation workflow and advise clients.
  • Tenant representatives or in-house legal teams who review terms, propose counters, and confirm business requirements.

Essential parts of a professional Lease Renewal Proposal

A well-structured proposal is concise, unambiguous, and easy to convert into a formal amendment or new lease; include operational, financial, and timeline details.

Parties

Full legal names of landlord and tenant as they appear on the existing lease to ensure consistent identity and enforceability when converting to a signed amendment.

Proposed Term

Exact start and end dates using MM/DD/YYYY format, including any early move-out windows, renewal option exercise deadlines, and automatic renewal triggers.

Rent and Charges

Detail base rent, timing of increases, common area maintenance (CAM) charges, utilities allocation, and any one-time concessions or abatements.

Permitted Changes

List tenant improvements, allowed alterations, or changes to permitted use that will form the basis of any amendment exhibits or work orders.

Conditions

Contingencies such as receipt of insurance certificates, satisfactory inspection results, or completion of agreed repairs before renewal becomes binding.

Signatures and Dates

Signature block for authorized signers with printed names, titles, dates, and a statement that the proposal is non-binding until converted to an executed amendment unless explicitly stated otherwise.

Step-by-step: prepare and send a renewal proposal

Follow a consistent sequence to reduce errors and speed approval: draft, review, deliver, negotiate, document agreed terms, and finalize signatures.

  • 01
Draft: Complete all fields and attach supporting exhibits.
  • 02
Internal review: Legal and accounting verify terms and calculations.
  • 03
Deliver: Send to tenant with clear response deadline.
  • 04
Finalize: Convert accepted proposal into an amendment or new lease for signature.

Setting up an online renewal workflow

Configure the digital workflow so required fields, approvals, and eSignature steps are enforced automatically and routing is auditable.

Field | Configuration Required | Locked until reviewer approval
Approver order Landlord legal → finance → tenant
Authentication Email with SMS code or SAML SSO for corporate signers
Attachments Include current lease and tenant ledger
Audit settings Enable full audit trail and timestamping

Typical flow for e-submission and signing

A standard e-signature workflow minimizes friction: upload, tag fields, send, authenticate signer, capture signature, and store executed documents.

  • Upload document: Add the proposal and any exhibits to the platform.
  • Place fields: Insert signature, date, and initial blocks for each signer.
  • Send to signer: Deliver via email link or secure signing portal.
  • Capture audit trail: System records IP, timestamps, and actions automatically.

Digital delivery and platform considerations

Ensure the platform meets any compliance needs (for example, a HIPAA BAA for healthcare clients) and retains searchable records.

  • File formats: PDF and DOCX supported
  • Integrations: CRM and document storage connectors
  • Security: TLS transport and AES-256 at rest

Timing: response windows and execution deadlines

Define clear deadlines for tenant response and signature to avoid automatic renewals or missed budget cycles; include time zone and delivery method in the proposal.

Response deadline:

State exact date and time in MM/DD/YYYY and time zone

Signature deadline:

Specify final date to execute renewal agreement

Conversion timeline:

Allow time for drafting the binding amendment after acceptance

Notice periods:

Observe any statutory notice obligations stated in original lease

Escalation:

Include contact for unresolved negotiations

Common preparation mistakes to avoid

  • Using inconsistent party names between proposal and underlying lease, which can delay execution and require corrections.
  • Omitting clear effective dates or using vague terms like 'upon agreement' that complicate enforcement or rent calculations.
  • Failing to list contingencies explicitly, such as required repairs or approvals, leading to later disputes about obligations.
  • Not confirming signer authority in corporate entities, which can invalidate execution and require ratification.

Consequences of incorrect or incomplete proposals

Delayed revenue: Loss of rental income during extended negotiations
Legal disputes: Ambiguity can trigger breach claims
Reputational risk: Tenant dissatisfaction and turnover
Administrative cost: Increased legal and accounting fees
Invalid execution: Improper signer authority voids document
Data loss: Poor storage risks evidence gaps
