LEASE SUMMARY AGREEMENT

This Lease Summary Agreement ("Agreement") is made and entered into as of , by and between Landlord Name: , with principal address at , and Tenant Name: , with principal address at . Landlord and Tenant are sometimes referred to individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, Landlord is the owner of certain real property and improvements commonly known as (the "Premises"); and

WHEREAS, Tenant desires to lease from Landlord, and Landlord desires to lease to Tenant, the Premises upon the principal economic and business terms set forth in this Agreement; and

WHEREAS, the Parties intend that this Agreement will summarize the material terms of a definitive lease to be prepared, negotiated, and executed by the Parties or will serve as the controlling statement of the Parties' agreement where a full lease is not required.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the sufficiency of which is acknowledged, the Parties agree as follows:

Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, the Premises described above. The Premises shall include the following rentable area: and the following parking allocation: .

2. TERM

The Lease Term shall commence on and expire on , unless sooner terminated in accordance with this Agreement. The initial term is for a period of months.

3. RENT

Base rent shall be per , payable in advance on the day of each period. All rent is to be paid to Landlord at: unless otherwise directed in writing.

Late charge: if rent is not received within days after the due date, Tenant shall pay a late charge equal to the greater of or of the overdue amount and interest at the maximum lawful rate thereafter.

4. SECURITY DEPOSIT

Upon execution of the definitive lease, Tenant shall deposit with Landlord the sum of as security for Tenant's performance under the Lease. Landlord may apply the deposit to unpaid rent or repairs required as a result of Tenant's breach. Remaining deposit shall be returned in accordance with the Lease and applicable law.

5. PERMITTED USE

The Premises shall be used and occupied only for and for no other purpose without Landlord's prior written consent. Tenant shall comply with all applicable laws, ordinances and regulations in connection with its use.

6. MAINTENANCE AND REPAIRS

Tenant shall, at Tenant's sole cost, keep the Premises and all Tenant Improvements in good order and condition, including routine maintenance and minor repairs. Landlord shall remain responsible for structural repairs and major building systems except to the extent damage is caused by Tenant's negligence or willful misconduct.

7. ALTERATIONS

Tenant shall not make any material alterations, additions or improvements to the Premises without Landlord's prior written consent, which consent shall not be unreasonably withheld for non-structural alterations. Any approved alterations shall be performed in a good and workmanlike manner and shall become Landlord's property unless otherwise agreed in writing.

8. ASSIGNMENT AND SUBLETTING

Tenant shall not assign this Lease or sublet the Premises without Landlord's prior written consent, which may be conditioned upon Tenant's continued liability and Landlord's right to review the assignee's financial statements. Any assignment or subletting without consent shall be void and shall constitute a default.

9. INSURANCE AND INDEMNITY

Tenant shall, at its expense, procure and maintain commercial general liability insurance and property insurance covering Tenant's personal property and improvements with limits reasonably acceptable to Landlord. Tenant shall indemnify, defend and hold Landlord harmless from and against all claims arising out of Tenant's use or occupancy of the Premises except to the extent caused by Landlord's gross negligence or willful misconduct.

10. DEFAULT AND REMEDIES

Upon Tenant's failure to perform any covenant or obligation under the Lease, Landlord shall provide written notice specifying the breach and, where curable, Tenant shall have days to cure. If Tenant fails to cure, Landlord may exercise all remedies available at law or in equity including termination, recovery of rents, and recovery of damages.

11. TAXES AND COMMON EXPENSES

Tenant shall be responsible for payment of its proportionate share of real estate taxes, assessments, common area maintenance, and other operating expenses to the extent provided in the Lease. The estimated Tenant share at lease commencement is .

12. NOTICES

Notices shall be in writing and deemed given when delivered in person, by certified mail, return receipt requested, or by nationally recognized overnight courier to the addresses set forth above or to such other address as a Party designates in writing.

13. AMENDMENTS; WAIVER

This Agreement may be amended only by a written instrument executed by both Parties. No failure or delay by either Party in exercising any right or remedy shall operate as a waiver of such right or remedy, and no single or partial exercise shall preclude other or further exercise.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Premises are located without regard to conflict of laws principles.

15. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding and agreement between the Parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether oral or written, relating to the Premises, except as expressly provided herein.

16. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the invalidity or unenforceability will not affect any other provision, and the remaining provisions shall remain in full force and effect.

17. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall have the same force and effect as original signatures.
