LEASE VARIATION AGREEMENT

RECITALS

7.1 The parties acknowledge that this Agreement forms part of and is supplemental to the Original Lease. Except as expressly varied, all terms, covenants, conditions and provisions of the Original Lease shall remain binding and enforceable.

8.1 Any notice or communication required or permitted under this Agreement shall be in writing and delivered in accordance with the Original Lease or to the addresses set out below:

9.1 No amendment or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by both parties. The failure of either party to enforce any right under this Agreement shall not constitute a waiver of that right.

10.1 This Agreement may be executed in counterparts and each executed counterpart shall be an original, but all counterparts together shall constitute one and the same instrument. Execution by electronic signature or scanned image of an executed signature shall be valid and binding.

11.1 This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction in which the Premises are located. The parties submit to the non-exclusive jurisdiction of the courts of that jurisdiction for the resolution of any dispute arising out of or in connection with this Agreement.

12. ENTIRE AGREEMENT

12.1 This Agreement and the Original Lease contain the entire agreement between the parties with respect to the subject matter hereof and supersede all prior negotiations, understandings and agreements relating to the Variations.

13. SEVERABILITY

13.1 If any provision of this Agreement is held to be illegal, invalid or unenforceable in whole or in part, that provision shall be severed and the remainder of this Agreement shall continue in full force and effect.

14. FURTHER ASSURANCES

14.1 Each party shall execute and deliver such further documents and take such further actions as may be necessary or desirable to give full effect to the provisions of this Agreement.
