PARTIAL ASSIGNMENT OF OIL AND GAS LEASE(Producing Lease. Reservation of Production Payment) State: County: Assignor: (Name and Address) Assignee: (Name and Address) Effective Date: For adequate consideration, Assignor, named above, assigns, sells, and conveys to Assignee, named above, an undivided __________% working interest and __________% net revenue interest in the oil, gas, and mineral lease (the “Lease”) on lands l ocated in the County and State named above (the “Lands”). The Lease and Lands are described on Exhibit “A” to this Assignment. Assignor also sells, assigns, and conveys to Assignee a like undivided interest in all equipment, personal property, and fixtures located on the Lands or used in the operation of the Lease. There is excepted from this Assignment and reserved to Assignor, out of the revenue interest assigned, a production payment in the amount of $__________ payable out of an undivided __________% of 8/8 of all oil, gas and other minerals produced, saved and sold from the Lands under the Lease. When the sum of $__________ is recovered by Assignor from production from the Lands under the Lease, the production payment shall terminate and the burden created by the production payment against the assigned interest shall cease without further action by Assignor or Assignee. If the Lease covers less than 100% of the mineral estate in the Lands or if intere st in the Lease is less than 100%, the production payment shall be proportionately reduced. The interest in the Lease assigned to Assignee shall bear and be subject to its proportionate share of all lease and leasehold estate burdens affecting or burdening the assigne d interest which are of record as of the Effective Date of this Assignment. This Assignment is made, delivered, and accepted with warranty of title by, through, and under Assignor, but not otherwise. This Assignment shall be binding on and inure to the benefit of Assignor and Assignee and their respective heirs, personal representatives, successors, and/or assigns.
