Recitals

WHEREAS, Applicant submits this application to request manufacture, supply or private-label production of leather products according to Applicant specifications and quality requirements; and

WHEREAS, Manufacturer has expertise, facilities and capability to produce leather goods in compliance with the specifications, standards and delivery schedules set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality and other material terms governing the manufacture and sale of the leather products described in this application.

Scope of Work

The Manufacturer shall produce the leather products in accordance with the foregoing specifications, quality standards and delivery schedule set forth below. The scope includes cutting, stitching, finishing, packaging and any agreed quality inspections prior to shipment. Deviations from specified materials or workmanship require prior written approval from Applicant.

Payment Terms

Applicant agrees to pay Manufacturer the amounts described below in consideration for goods and services rendered. All payments shall be made in U.S. dollars unless otherwise agreed in writing.

Late payments shall incur interest at the rate specified below, calculated from the payment due date until paid in full.

Quality, Samples & Inspection

Applicant may require pre-production samples and final inspection. Manufacturer shall maintain quality control sufficient to meet the agreed specifications and shall permit Applicant or its representative to inspect production and finished goods upon reasonable notice.

Term and Termination

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this section, continues until the End Date or completion of the services described in the Scope of Work.

Either party may terminate this Agreement for material breach that remains uncured for the foregoing notice period. Termination does not relieve Applicant of amounts due for goods completed or in process as of the termination date.

Confidentiality

Each party shall hold in confidence and not disclose to any third party Confidential Information received from the other party, except as necessary to perform under this Agreement or as required by law. Confidential Information includes designs, specifications, pricing, supplier lists and production techniques.

Warranties & Compliance

Manufacturer warrants that all goods delivered under this Agreement shall conform to the agreed specifications and be free from defects in materials and workmanship for a period specified below. Manufacturer represents that materials are sourced and processed in compliance with applicable law and industry standards.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to conflict of laws principles.

Entire Agreement

This document, together with any attachments and the mutually agreed specifications and purchase orders referenced herein, constitutes the entire agreement between the parties with respect to the subject matter. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
