LEGAL AA FORM

This Assignment and Assumption Agreement (the Agreement) is made as of between Assignor Name: (Assignor), an entity of type , and Assignee Name: (Assignee), an entity of type .

RECITALS

WHEREAS, Assignor is the legal holder of certain rights, duties and obligations arising under or related to the agreement described as:

WHEREAS, Assignor desires to assign and transfer to Assignee all of Assignor’s right, title and interest in and to the Assigned Rights (as defined below), and Assignee desires to accept such assignment and to assume the Assumed Obligations (as defined below), all upon the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Assigned Rights" means all rights, title, interest, claims and causes of action of Assignor under the agreement described above and any amendments, modifications, schedules, exhibits and related documents thereto, to the extent assignable under applicable law.

1.2 "Assumed Obligations" means all present and future obligations and liabilities of Assignor arising under or relating to the Assigned Rights from and after the Effective Date, other than obligations expressly retained by Assignor in writing by separate instrument.

2. ASSIGNMENT

2.1 Assignment. Subject to the terms and conditions of this Agreement, Assignor hereby assigns, transfers and conveys to Assignee all of Assignor’s right, title and interest in and to the Assigned Rights effective as of the Effective Date.

2.2 Exclusions. Assignor shall deliver to Assignee, contemporaneously with the execution of this Agreement, a written schedule identifying any specific rights or obligations that are excluded from the assignment (Excluded Rights). Any rights or obligations set forth on such schedule shall not be part of the Assigned Rights or Assumed Obligations.

3. ASSUMPTION OF OBLIGATIONS

3.1 Assumption. Assignee hereby accepts the Assignment and agrees to assume and perform the Assumed Obligations as if Assignee were the original obligor thereunder, subject to the express terms and limitations of this Agreement.

3.2 No Release Unless Provided. Except as expressly provided herein, Assignor shall not be released from any liability under the Assigned Rights unless a third party creditor or counterparty expressly releases Assignor in writing.

4. CONSIDERATION

In consideration for the assignment and assumption described herein, Assignee shall pay to Assignor the amount or provide the consideration set forth below:

5.1 Assignor Representations. Assignor represents and warrants to Assignee that: (a) Assignor has full right, power and authority to assign the Assigned Rights; (b) to Assignor’s knowledge, no event of default exists under the Assigned Rights that would permit termination, acceleration or modification by a counterparty as of the Effective Date, except as disclosed in writing to Assignee; and (c) the Assigned Rights are free and clear of liens, security interests, or other encumbrances except those disclosed in writing to Assignee.

5.2 Assignee Representations. Assignee represents and warrants to Assignor that: (a) Assignee has full corporate or legal power and authority to accept the assignment and to perform the Assumed Obligations; (b) the execution and delivery of this Agreement and the performance hereunder have been duly authorized by all necessary action; and (c) this Agreement constitutes a valid and binding obligation of Assignee enforceable in accordance with its terms.

6. INDEMNIFICATION

6.1 Assignor Indemnity. Assignor shall indemnify and hold harmless Assignee from and against any claims, losses or liabilities arising out of acts or omissions of Assignor occurring prior to the Effective Date in connection with the Assigned Rights, except to the extent caused by Assignee’s breach of this Agreement.

6.2 Assignee Indemnity. Assignee shall indemnify and hold harmless Assignor from and against any claims, losses or liabilities arising out of Assignee’s performance of the Assumed Obligations after the Effective Date, except to the extent arising from Assignor’s breach or misrepresentation.

7. CONDITIONS PRECEDENT

The obligations of the parties under this Agreement are subject to the satisfaction or waiver of the following conditions precedent: (a) receipt of any third-party consents required under the Assigned Rights; (b) delivery of any documents or schedules referenced herein; and (c) the representations and warranties of the parties being true and correct as of the Effective Date.

8. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and sent to the addresses set forth below and shall be effective upon receipt.

9. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by each party affected. No failure or delay by any party in exercising any right shall operate as a waiver of that right.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

11. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement will continue in full force and effect and the invalid or unenforceable provision will be replaced by a valid, enforceable provision that most closely reflects the parties’ original intent.

12. COUNTERPARTS

This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be binding for all purposes.

13. MISCELLANEOUS

The headings used in this Agreement are for convenience only and shall not affect the interpretation of any provision. Each party represents that it has had the opportunity to obtain independent legal advice with respect to this Agreement.
