LEGAL ACCEPTANCE ACKNOWLEDGMENT

RECITALS

1. DEFINITIONS

1.1 "Acceptance" means the formal written acknowledgment by an authorized representative of the accepting party that specified deliverables, milestones or obligations have been satisfied in material conformity with the Referenced Agreement. Acceptance shall be evidenced by signatures on this Acknowledgment or by the alternative acceptance procedure expressly set forth in the Referenced Agreement.

2. SCOPE OF ACCEPTANCE

2.1 The accepting party hereby accepts the following deliverables, items or obligations under the Referenced Agreement:

4.1 Each party represents and warrants to the other that: (a) it has full power and authority to enter into this Acknowledgment and to carry out its obligations hereunder; (b) the execution and delivery of this Acknowledgment has been duly authorized by all necessary corporate or organizational action; and (c) this Acknowledgment constitutes a valid, binding and enforceable obligation of such party.

5. CONFIDENTIALITY

5.1 All nonpublic information disclosed in connection with the matters accepted under this Acknowledgment shall be treated as Confidential Information under the terms and conditions governing confidentiality in the Referenced Agreement. Absent a specific confidentiality provision in the Referenced Agreement, the parties agree to maintain confidentiality consistent with industry standards and applicable law.

6. INDEMNIFICATION

6.1 Each party shall indemnify, defend and hold harmless the other party from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from a breach of the representations, warranties or obligations expressly assumed by such indemnifying party under this Acknowledgment or the Referenced Agreement.

7. LIMITATION OF LIABILITY

7.1 Except for liability arising from willful misconduct, gross negligence, or indemnification obligations, neither party shall be liable for incidental, special, punitive or consequential damages arising out of or related to this Acknowledgment, whether in contract, tort or otherwise.

8. TERMINATION

8.1 This Acknowledgment may be terminated by mutual written agreement of the parties or in accordance with the termination provisions of the Referenced Agreement. Termination shall not relieve either party of obligations accrued prior to termination.

9. NOTICES

9.1 All notices, demands or communications required or permitted under this Acknowledgment shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by notice in accordance with this Section).

10. AMENDMENT; WAIVER

10.1 No amendment, modification or waiver of any provision of this Acknowledgment shall be effective unless set forth in a writing signed by authorized representatives of both parties. No waiver of any breach shall constitute a waiver of any subsequent breach.

11. GOVERNING LAW

11.1 This Acknowledgment shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties. The parties expressly submit to the exclusive jurisdiction of the courts located in the chosen jurisdiction for the resolution of disputes arising under this Acknowledgment.

12. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

12.1 This Acknowledgment, together with the Referenced Agreement and any documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Acknowledgment is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
